FINANCIAL STATEMENT: This action could cost the City an additional $300 to $400 per year. The City would pay the additional cost to CMA at the beginning of the fiscal year as part of CMA's budget. DESCRIPTION: At its meeting of July 23, 1992, the CMA Board considered several potential amendments to the Joint Powers Agreement for the Congestion Management Agency which would address quorum problems at the Board meetings and its committee meetings. At present, if a large city is not present at a meeting, the large number of votes assigned to that city can dilute the majority below a quorum. The CMA Board is requesting that the City of Dublin, along with the other member agencies, consider amending the Joint Powers Agreement to address this problem by changing how a quorum would be defined, authorizing compensation at standing meetings, and specify the vote needed to approve certain matters. This amendment would change the quorum and voting system by giving each CMA Boardmember one vote, rather than the number of votes assigned to each agency, and to determine a quorum by simple majority of agencies. The Board would also need a simple majority to approve or reject an item based on one vote per member, except to adopt or amend the Congestion Management Program, to adppt a Resolution of Conformance or Nonconformance with the adopted Congestion Management Program, to adopt or amend the County-wide Transportation Plan, to approve Federal or State funding programs, to adopt the annual budget, or to levy fees or charges. All of these decisions would still be based on the majority of votes based on votes assigned by population. A second issue that has come up is the fact that the Joint Powers Agreement is silent on payment to Boardmembers at committee meetings. This proposed amendment would allow the Board to fix a reasonable sum of money to be paid for attending committee meetings. In order for this amendment to be approved, it will take a majority of the agencies representing a majority of the population to concur. ---------------------------- ------------------------------------- ITEM NO. 8• ~ C i T Y C L E R K : Dennis Fay, CMA Fit F l 0 6 a+~y' o~ RESOLUTION NO. -92 A RESOLUTION OF THE CITY COUNCIL OF TF~ CITY OF DUBLIN AMEND CMA JOINT POWSRS AGREEMENT TO CHANGE QUORUM TO CMA BOARD AND PAY REASONABLE SUM TO ELECTED OFFICIALS FOR ATTENDING MEETINGS WE~REAS, the Alameda County Congestion Management Agency (CMA) was created pursuant to California Government Code Section 65089; and WI~REAS, a joint powers agreement (JPA), dated February 20, 1992, defining the roles, purpose, objectives, responsibilities, powers and duties of the CMA was approved and executed by the Alameda County Board of Supervisors and majority of the cities representing a majority of the population in the incorporated area of Alameda County; and WHEREAS, the JPA permits the CMA to create committees; and WHEREAS, the JPA allows for meeting compensation for members at CMA Board meetings but is silent on compensation for attendance at committee meetings; and WHEREAS, there have been quorum problems from time to time at CMA Board and committee meetings; NOW, THEREFORE, BE IT RESOLVED, that the City of Dublin approves the following amendments to the Alameda County Congestion Management Agency joint powers agreement: 1. Section 10.3.(5) "Quorum" is revised to read: "A majority of the +retes members of the CMA Board shall constitute a quorum for the transaction of business, except that less than quorum may adjourn from time to time." ~ 2. Section 10.3.(6) "Meeting Compensation" is revised to read: "The CMA Board is authorized to fix a reasonable sum to be paid elected officials for attendance at CMA Board meetings and committee meetings. Such compensation shall cover mileage and other costs associated with meeting attendance." ~Xtttg ~T / 3. Section 12. "Vote Required" is revised to read: "A majority of the authorized vote of the ve~i-n~ CMA Boardmembers shall be required to adopt or amend the Congestion Management Program, for the adoption of a resolution of conformance or non-conformance with the adopted Congestion Manaqement Program, to approve or reject a deficiency plan, to adopt or amend the County-wide Transportation Plan, to approve Federal or State funding programs, to adopt the annual budget, or to levy fees or charges.
