FINANCIAL STATEMENT: Membership in the CVB for the period of November 1996 through June 30th, 1997 will be $9,000. The entire $9,000 membership fee will be advanced by Pacific Valley Investors prior to the City joining the CVB. A maximum contribution by the City of$5,522 will be required for membership in the CVB for the second year, July 1, 1997 - June 30, 1998. DESCRIPTION: mSTORY Dublin was approached by the Pleasanton CVB in 1995 to join a proposed Tri-Valley Convention and Visitors Bureau (CVB) that would include the cities of Pleasanton, Livennore and San Ramon. The Tri- Valley CVB was subsequently organized and funded with membership fees from Livermore, Pleasanton and private enterprises. The City Councils of Dublin and San Ramon both decided not to join the newly organized Tri-Valley CVB. At the City Council meeting of September 3, 1996, Mayor Houston and Vice Mayor Burton requested that Staff bring back to the City Council the issue of the City's participation in the Tri-Valley Convention and Visitors Bureau. The new owners of the Dublin Park Hotel have presented a proposal to the City to encourage membership in the Tri- Valley CVB. The Dublin Park Hotel could not join the CVB unless the City was a member so they offered to advance the first year City membership fee of $9,000, if they could be reimbursed the ------------------~------------------------------------------------ COPIES TO: ITEM NO.7.. 8 H1cc-formslgreglpvi $9,000 through a formula based on increased transient occupancy tax revenues (TOT) received by. the City. Management of the Dublin Park Hotel believes that membership in the Tri-Valley CVB will greatly help the performance of their operation. For this reason, they have offered to advance the City's membership.-_ fee of $9,000 that covers a period from November 1996 through June 30, 1997. This period is considered ....- the first year of membership in the CVB although it does not represent a full 12 months of membership. The first year membership fee assessed to the City is an introductory amount that is not tied to any sharing formula with the other member cities of the CVB. Pleasanton has contributed $ 165,000 and Livermore contributed $77,000 for the first year operation of the CVB. If the City decides to enter into an agreement with Pacific Valley Investors (PVI) (the owners of the Dublin Park Hotel), then the City will agree to reimburse PVI on a dollar for dollar basis not to exceed a total of $9,000 for funds advanced to the City by PVI for the first partial year of membership provided that the total Transient Occupancy Taxes collected by City attributable to the period July 1, 1996 to June 30, 1997 exceeds $198,284. (Actual total TOT for Fiscal Year 1995-96) If PVI sees a benefit of membership in the CVB after the fIrst year of membership, then the City would agree to join the CVB for a second year of membership starting July I, 1997 and ending June 30, 1998 under the following conditions: a) The City would pay no more than 20% up to a maximum of $5,522 of the City membership fee in the second year. CVB staff have estimated the second year City of Dublin membership fee at $27,610. This is based on the Cities of Dublin, Pleasanton, and Livermore sharing the cost of a $251,000 contribution by the cities to the CVB based on total number of rooms. b) The Hotel OPERA TOR would advance to the City its share of the City of Dublin membership assessment in the CVB prior to the City joining the Bureau in the second year. Staff recommends that the Council evaluate both the effectiveness of the CVB and the agreement with PYI at the end of the second year of membership. The City currently has planning applications for two new hotels which if built would necessitate a reevaluation of the agreements with CVB and PVI in Fiscal Year 1997-98. Wayne Levenfeld, President of PVI offered the reasons for the City of Dublin to join the CVB so that. their hotel could also join the CVB in his letter dated September 18, 1996. (See Exhibit A) The attached agreement (Exhibit B) would be used with PYI should the Council direct Staff to enter an agreement with PVI. We further believe that such participation is extremely cost effective for reasons described below. This memo 'Nill provide information for L:se in your presentation to the city council. The inf~xmat.ion includes facts and expectations which justify participation in VCB as well as a financIal proposal w!lereby we will substantially shift any risk of this investment to our property ownership group. As you are a"'iare, we are currently finalizing plans to upgrade the Best Vvestern Dublin Pc:;rk Hotel so that it will have facilities and quality comparable to the best of our competitors. Our investment !n upgrading will be in excess of $3,000,000 over the next twenty four months with most of that expenditure occurring in the next 9 -12 months. Our first major orders for nevI! furnishings will be placed within the next two weeks. Within that same period vile will submit a revised site plan showing modifications and improvements to our lobby, meeting, storage, and food service areas; as soon as that is approved construction wiil begin. If the city approves our site development concepts our upgreding costs wiil !!ke!y increase to over $4,000,000 with the cDnstruction of an additional restaurant bui:dino. .oJ Our large investment fOi physical upgrading is required to compete with the sopiiisticate(j and high qL:8:ity competitors in our market area. Physical improvements are necessary but are not sufficient; other improvements are crucial including significant improvements in mnrKeting and image. Membership in the VCB is an important element of success for our hotel. The success or failure 0'; our efforts to increase the business leve! .at the hotel 118ve a major economic implication rOi the City of Dublin since the City receives 8% of our total rooms revenue as a direct contribution to its genel-al fund. Specific reasons to join trl<:: VCB are as follov/s: a. Even whBn our hotel is fuily renovated we will have an image deficit since the City of Dublin is perceived to be inferior to the City of Pleasanh)n. We will need to spend mOiley and effort to overcome that disadvantage. It is very important that we not be burdened by an additional image deficit by being the only hotel in our competiti'/e set \I\f'hicll is not a member of the VCB and is, therefore, not represented to these to whom the VCB markets. The area has a major problem for hotel business in that there is a very low level . of business on weekends and a generally very low level of group business. The . .' \leB will have a budget of nearly $300,000 to try to develop such business. There is no way we can match such an effort ourselves; if we are not in the VCB we will get little or no benefit. If our competitors have EI source of business that we can not bene-fiI from they will be more profitable, will be better able to upgrade over the long run, etc. We will inevitably fall behind and see our business revenues f811 not only for weekend/group business but also as to the main corporate business. C. The VC8 represents a bargain to the City of Dublin and to our hotel. The VCB 8s~essments are based on the number of hotel rooms in each city. Dublin's assessment is only about 8.5% of the total since there is only one hotel. HO\f/6Ver, all leads are rrovided to each hotel in the VCB. In other words the cost to the City of Dublin per lead for our hotel is only 8bout 1ft as great as the cost to the City of Pleasanton per lead to each of its hotels (since it funds nearly 60% of t!le total VC8 cost)! d. tJew holals vvill most s-wely be built in the near futurE: makin9 the competitive environm~:mt even tougher. All plans for new hotels that I arn aware of are in Pleasanlon, LivE:rmore, San Ramon. l'f Dublin does not partic:pate in the VCB the chance of us getting any overflow from VCB promoted events and groups will dirr.inish even further. On the other hand, if we do join the bargain aspect of the membership wil! increase further as the Dublin assessment percentage will decline but we will still get a chance to go after every lead. . e. Thei's are many other advantages to hotels that participate in the promotion of the community that are hard to specifically identify. Overall, they can be placed under the genefal heading of "knowing what is going on" which often implies the cpportunity to take advantage of what is going on. f. If \/CB membersllip allows our hotel to capture additional weekend and/or weekday business, them will be additional benefits to the city of Dublin and its businesses. The extra hotel guests will surely spend money in nearby res.taurants and stores. g. The BGs~ Western Dublin Park Hotel is our sixth property in Northern California. In every case but Dl.jblin the city utilizes a portion of its T aT revenues to vomo18 additional tourism business. Funding goes to various entities including VeB, Chamber of Commerce, direct advertising and promotion programs. Over the past 25 years I ho1Ve been asso:::iated with over 30 motels and hotels ti~!roughc-L1t California. I believe the preceding stEitemel1t to be true for virtually o~11 cases. VI/e believe so strongly that \/eB membership is essential that v...e are willing to advance our own caS!"1 on a risk basis, to be recaptured out of increased TOT tax payments. In each VCB fiscal year period, we will be entitled to recover any membership assessment amounts we have advanced by offset against TOT tax amounts paid for the pmiod which are in excess of the Base Taxes d. The above agreement should be in effect for at least the next three years to aHow sufficient time for the VCB tG prove itself. We should h2ve the right to terminate our obligation to make the advances if we are not satisfied with VCB results; in such case the City \^lould have the option to drop out of membership. e. ("OPERATOR") RECITALS A. OPERATOR operates a hotel in the City. OPERATOR believes that membership in the Tri-Valley Convention and Visitors Bureau ("CVB") will benefit OPERATOR's hotel through increased usage, thereby also benefiting City by increased Transient Occupancy Tax revenues. B. OPERATOR cannot join the CVB unless City is a member. C. OPERATOR has offered to pay City's cost of membership in CVB so that OPERATOR may join CVB and benefit from membership. D. The purpose of this agreement is to provide a mechanism whereby OPERATOR will pay City's cost of membership in CVB and, in the event that Transient Occupancy Taxes increase over the amount collected during the 1995-96 fiscal year, City will reimburse OPERATOR up to the maximum amount paid by OPERATOR to CITY. AGREEMENT . In consideration of the foregoing Recitals, CITY and OPERATOR agree as follows: 1. Upon receipt of the funds set forth in paragraph 3, CITY shall join the Tri-Valley Convention and Visitors Bureau (CVB) for a two year term thus allowing all City of Dublin businesses, including OPERATOR, the ability to join the Bureau. 2. First year City membership in the Tri-Valley CVB shall begin November , 1996 and end June 3D, 1997. Total cost for the first year membership is $9,000. 3. OPERATOR shall pay to CITY the sum of $9,000 to be used by CITY to pay the entire City of Dublin membership assessment in the CVB for the period of November _,1996 to June 30,1997. 4. CITY shall reimburse OPERATOR for the $9,000 payment provided that the total Transient Occupancy Taxes (TOT) collected by CITY attributable to the period July 1,1996 - June 30,1997 exceeds $198,284. In such event, CITY shall reimburse OPERATOR on a dollar for dollar basis not to exceed a total of $9,000. Payment of reimbursement amount shall be made within 30 days of CITY receiving final TOT payment for period ending .. June 30,1997. 5. In the event that OPERATOR is unsatisfied with performance of CVB during the first year of membership, OPERATOR has the right to terminate this agreement before the second year membership begins. 6.' Upon receipt of the funds set forth in subparagraph (b) of this paragraph 5, CITY shall commit to joining the CVB for a second year starting July 1, 1997 and ending June 30, 1998 under the following conditions: .. a) CITY will pay no more than 20% up to a maximum of $5,522 of the City membership fee in the second year. CVB staff have estimated the second year City of Dublin membership fee at $27,610. In such event CITY shall reimburse OPERATOR on a dollar for dollar basis not to exceed OPERATOR'S payment to CITY pursuant to paragraph 5 (b), after the City has been reimbursed for its contribution amount. Payment of reimbursement amount shall be made within 30 days of CITY receiving cumulative TOT payments for the fiscal year which exceed $198,284. 8. '.': . . , , . CONTRACT ADMINISTRATION. AGREEMENT WITH TRI-V ALLEY CONVENTION & VISITORS' BUREAU THIS AGREEMENT is made and entered into this day of November, 1996, by and between CITY OF DUBLIN, a municipal corporation (hereinafter referred to as the "CITY"), and TRI-VALLEY CONVENTION & VISITORS' BUREAU, a non-profit corporation (hereinafter referred to as "TVCVB'). WIT N E SSE T H: A. Agreement. TVCVB has qualified to receive City funds to provide community services as stated in this B. In the judgment of the City Council, it is appropriate and advisable to provide money to TVCVB for Fiscal Year 1996-97 to assist it financially in providing specified community services. C. The Tri-Valley Convention and Visitor's Bureau (TVCVB ), formerly known as the Pleasanton Convention Visitors Bureau (CVB) has expanded its services to include businesses in the City of Livermore. The City of Livermore has agreed to participate in the TVCVB. Each city has separate contracts with the TVCVB and has the right to act independently regarding funding and related contract issues. NOW THEREFORE, in consideration of the mutual convenants, agreements, and conditions contained herein, the CITY and TVCVB agree as follows: . 1. lVCVB's Services. TVCVB shall attempt in good faith to provide services and furnish the necessary materials, supplies, facilities, and personnel to promote the City of Dublin by increasing convention and visitor trade in Dublin, encourage Dublin hotel use, support special events in Dublin, and perform services that assist Dublin businesses. TVCVB shall attempt in good faith to perform the services stated above. 2. Sufficiency of TVCVB's Services. The City Manager's Office shall monitor and review the level of funded services provided during the term of this contract and shall submit an annual review of the TVCVB's services to the City Council. TVCVB Director will report to the City Council quarterly on the status and progress of the TVCVB. 3. Term. lVCVB shall provide services pursuant to this agreement for the period from November ,1996 to July 1,1997. 4. Allocated Funds. CITY has allocated for Fiscal Year 1996-97 the sum of $9,000 to lVCVB. CITY funds shall not be used for any of the following without the expressed written consent of the CITY: . Donations · Political Contributions . Lobbyists . Gifts · Non-business related travel . Non-budgeted items . Depreciation expense of equipment · Funding for projects requiring matching funds or projects presently supported in part by City funds that . would, in effect, result in duplicating City funding . . 5. TVCVB's Status. In the performance of the services set forth in this agreement, TVCVB shall have the status of an independent contractor and lVCVB shall not be considered to be an employee of the CITY for any purpose. All persons working for or under the direction of lVCVB are its agents, servants, and employees and are not agents, servants, or employees of the CITY. . :.~. . 6. Termination of Agreement by CITY. The CITY may terminate this agreement at any time by mailing a notice in writing to the lVCVB that the CITY will no longer provide funding. The agreement shall then be deemed terminated, and no further funding shall be required to be allocated by the CITY for lVCVB. The money allocated to lVCVB may be apportioned either by the number of months or services provided by lVCVB, if the funding is terminated. 7. Indemnify and Hold Harmless. lVCVB shall indemnify, defend, and save the CITY, its Council members, its boards and commissions, its agents, officers, and employees harmless from and against any and all losses, damages, liability, claims, suits, costs, and expenses whatsoever, including reasonable attorneys' fees regardless of the merit or outcome of any such claim or suit arising during the term of this Agreement out of any personal injury, bodily injury, loss of life, or damage to property, violation of any Federal, State, or Municipal Law or Ordinance or other cause of action in connection with the activities of the lVCVB, its employees or agents, or due to the performance or character of the work. Approval of the insurance coverage does not relieve the lVCVB of liability under this indemnification clause. 8. Insurance. lVCVB, at its own cost and expense, shall carry and maintain insurance of the kinds and amounts determined in Attachment 1. A current copy of insurance shall be filed with the City of Dublin's Risk Manager. 9. Notices. All notices herein required shall be in writing and shall be sent by certified or registered mail, postage prepaid. 10. Conformance to Applicable Laws. lVCVB shall comply with all applicable Federal, State, and City laws, rules, and ordinances. No discrimination shall be made by TYCVB in the employment of persons to work under this contract because of race, color, national origin, ancestry, sex, or religion of such person. 11. Scope of Agreement. This writing constitutes the entire Agreement between the parties relative to the services and modification hereof shall not be effective unless and until such modification is evidenced by a written amendment signed by both parties to this Agreement. CITY OF DUBLIN INSURANCE REQUIREMENTS FOR CONTRACTORS Contractor shall procure and maintain for the duration of the contract insurance against claims for injuries to persons or damages to property which may arise from or in connection with the performance of the work hereunder by the contractor, his agents, representatives, employees or subcontractors. Minimum Scope of Insurance Coverage shall be at least as broad as: 1. Insurance Services Office Commercial General Liability coverage (occurrence form CG 0001). 2. Insurance Services Office form number CA 0001 (Ed. 1/87) covering Automobile Liability, code 1 (any auto). 3. Workers' Compensation Insurance as required by the State of California and Employer's Liability Insurance. Minimum Limits of Insurance Lessee shall maintain limits no less than: 1. General Liability: $1,000,000 per occurrence for bodily injury, personal injury and property damage. If Commercial General Liability Insurance or other form with a general aggregate limit is used, either the general aggregate limit shall apply separately to this projecUlocation or the general aggregate limit shall be twice the required occurrence limit. Automobile Liability: $1,000,000 per accident for bodily injury and property damage. Employer's Liability: $1,000,000 per accident for bodily injury or disease. . 2. 3. Deductlbles and Selfalnsured Retentions Any deductibles or self-insured retentions must be declared to and approved by the City of Dublin. At the option of the City of Dublin, either: the insurer shall reduce or eliminate such deductibles or self-insured retentions as respects the City of Dublin, its officers, officials, employees and volunteers; or the Contractor shall procure a bond guaranteeing payment of losses and related investigations, claim administration and defense expenses. Other Insurance Provisions The general liability and automobile liability policies are to contain, or be endorsed to contain, the following provisions: 1. The City of Dublin, its officers, officials, employees, agents and volunteers are to be covered as insureds as respects: liability arising out of activities performed by or on behalf of the Contractor; products and completed operations of the Contractor; premises owned, occupied or used by the Contractor; or automobiles owned, leased, hired or borrowed by the Contractor. The coverage shall contain no special limitations on the scope of protection afforded to the City of Dublin, its officers, officials, employees, agents or volunteers. 2. For any claims related to this project, the Contractor's insurance coverage shall be primary insurance as respects the City of Dublin, its officers, officials, employees, agents, and volunteers. Any insurance or . self-insurance maintained by the City of Dublin, its officers, officials, employees, agents or volunteers.-,. .. shall be excess of the Contractor's insurance and shall not contribute with it. 3. Any failure to comply with reporting or other provisions of the policies including breaches of warranties shall not affect coverage provided to the City of Dublin, its officers, officials, employees, agents or volunteers. { ATTACHMENT 1 .. .':. ..:. 4. The Contractor's insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer's liability. 5. Each insurance policy required by this clause shall be endorsed to state that coverage shall not be suspended, voided, canceled by either party, reduced in coverage or in limits except after thirty (30) days prior written notice by certified mail, return receipt requested, has been given to the City of Dublin. Acceptability of Insurers Insurance is to be placed with insurers with a current A. M. best's rating of no less than A:VII. Verification of Coverage Contractor shall furnish the City of Dublin with original endorsements effecting coverage required by this clause. The endorsements are to be signed by a person authorized by that insurer to bind coverage on its behalf. All endorsements are to be received and approved by the City of Dublin before work commences. As an alternative to the City of Dublin's forms, the Contractor's insurer may provide complete, certified copies of all required insurance policies, including endorsements effecting the coverage required by these specifications. Subcontractors Contractor shall include all subcontractors as insureds under its policies or shall furnish separate certificates and endorsements for each subcontractor.
