DESCRIPTION: The Dougherty Regional Fire Authority (DRFA) is a cooperative
agency voluntarily established by its members pursuant to the Joint Exercise of Powers Act of
Government Code of the State of California. The DRF A was established to provide joint and
mutual operation of fire protection and suppression services to its member agencies, the cities of
Dublin and San Ramon.
The DRFA is governed by a number of documents including by-laws. On January 30, 1995, the
DRF A Board of Directors directed staff to review the by-laws and detefllliIle the appropriate
amendment in order to change the term for Board Chair and Vice Chair.
Currently, the term is consistent with the Fiscal Year (July through June). It was proposed that
the term be modified to coincide with the City Council elections which typically occur in
November.
In accordance with the Board's direction, staff has prepared the attached resolution which amends
Section 3.2 and Section 3.3 of the existing by-laws to provide for a term of office which rotates
annually at the regular meeting of the Board of Directors in December of each year, instead of
July; and to provide that the Chief Executive Officer also rotate annually in December each year.
Pursuant to the current by-laws, amendments to these by-laws must be ratified by a majority of
the governing bodies of the member agencies. It is recommended that the Dublin City Council
adopt the attached resolution amending the existing DRF A by-laws.

RESOLUTION NO. - 95
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF DUBLIN
AMENDING THE BY-LAWS OF THE DOUGHERTY REGIONAL FIRE AUTHORITY
WHEREAS, by Resolution No. 15-88, the City Council approved the By-Laws of the
Dougherty Regional Fire Authority; and
WHEREAS, the By-Laws can be amended as provided in Section 9.1 of said agreement
upon ratification by a majority of the governing bodies of the member agencies.
NOW, THEREFORE, BE IT RESOLVED that the By-Laws are hereby amended as
follows:
Section 3.2. PRESIDING OFFICERS. The Board of Directors shall be presided over by the Chairperson
who shall be a member of the Board elected among its members. In the absence of thetChairperson, the
Board shall be presided over by a Vice-Chairperson elected from among the members. The Chairperson
and Vice- Chairperson, elected at the organizational meeting of the Authority, shall hold office from the
date of the election until the first regular meeting following the end of the succeeding fiscal year.
Thereafter, the Chairperson shall be rotated annually at the regular meeting of the Board in December of
each year. In no event shall the Chairperson and Vice-Chairperson be from the same appointing entity. No
member agency shall have the chair two consecutive years.
BE IT FURTIlER RESOLVED that the By-laws are further amended as follows:
Section 3 .3 SECRETARY/CHIEF EXECUTIVE OFFICER. The Board of Directors shall appoint a
Secretary and Chief Executive Officer in accordance with the Joint Exercise of Powers Agreement. The
Secretary/Chief Executive Officer appointed at the organizational meeting of the Authority shall hold office
until the regular meeting of the Board held in July next following the organizational meeting. Thereafter,
the Secretary/ Chief Executive Officer shall be appointed annually at the regular meeting of the
Commission in December each year...
