FINANCIAL STATEMENT: Under this agreement, BSK and Associates provides general geotechnical setvices to the City based on the adopted rate schedule. Types of services performed would typically be soils or material testing for Capital Improvement Projects. The cost of the service would be budgeted for the specific Capital Project. BSK has indicated that their fees will not increase for the upcoming year. . DESCRIPTION: In May of 1997, the City Council approved agreements with a number of consultants that could be utilized on an ongoing basis for geotechnical, traffic engineering, or civil engineering functions. Many of these agreements will expire in Mayor June of 1998 and need to be amended if the City is going to continue to utilize the services. The agreement with BSK expires on June 11 tho It is recommended that the dates of these agreements coincide with the end of the fiscal year in the future, and the proposed amendment reflects an expiration date of June 30, 1999. This year, BSK is providing material testing services for the federally-funded Dougherty Road Widening proj ect. The work provided to date by BSK has been satisfactory, professional, and competitive, and Staff recommends that the City Council approve the amendment to the agreement. . -----~--------------------------------- ----------------------------- COPIES TO: Alex Eskandari ITEM NO.--M g:\engr\bsk\agstamnd . . . / 5":-- ~ STANDARD CONSULTING ENGINEERING SERVICES AGREEMENT THIS AGREEMENT is made at Dublin, California, as ofvu.NE. II ,1996, by and between the CITY OF DUBLIN, a municipal corporation ("City"), and BSK & ASSOCIATES ("Consultant"), who agree as follows: 1. SERVICES. Subject to the terms and conditions set forth in this Agreement, Consultant shall provide to City the services described in Exhibit A. Consultant shall provide said services at the time, place, and in the manner specified in Exhibit A. 2. PA YJvfENT. City shall pay Consultant for services rendered pursuant to this Agreement at the time and in the manner set forth in Exhibit B. The payments specified in Exhibit B shall be the only payments to be made to Consultant for services rendered pursuant to this Agreement. Consultant shall submit all billings for said services to City in the manner specified in Exhibit B; or, ifno manner be specified in Exhibit B, then according to the usual and customary procedures and practices which Consultant uses for billing clients similar to City. 3. FACILITIES AND EOUIPMENT. Except as set forth in Exhibit C, Consultant shall, at its sole cost and e),."Pense, furnish all facilities and equipment which may be required for furnishing services pursuant to this Agreement. City shall fwnish to Consultant only the facilities and equipment listed in Exhibit C according to the terms and conditions set forth in Exhibit C. 4. GENERAL PROVISIONS. The general provisions set forth in Exhibit D are part of this Agreement. In the event of any inconsistency between said general provisions and any other terms or conditions of this Agreement, the other term or condition shall control insofar as it is inconsistent with the general provisions. 5. EA"HIBTTS. Ail exhibits referred to herein are attached hereto and are by this reference incorporated herein. 6. SUBCONTR.A..CTD'JG. The Consultant shall perform the work contemplated with resources available within its own organization and no portion of the work penment to this contract shall be subcontracted without wrinen authorization by the City, except that which is expressly identified in the Consultant's proposal. 7. CHANGES. City may from time to time require changes in the scope of the services by Consultant to be performed under this Agreement. Such changes, including any change in the amount of Consultant's compensation which are mutually agreed upon by City and Consultant, shall be effective as amendments to this Agreement only when in writing. 8. RESPONSIBLE CHARGE. Consultant shall assign a project manager(s) to the project for the duration of the project. There shall be no change in the Project Manager or members of the project team without prior wrinen approval by the City. The Project Manager for Consultant shall be ALEX Y. ESKANDARI 9. J, /~;;- / .J EXHIBIT A SCOPE OF SERVICES AND SCHEDULE (GEOTECHNICAL) To provide geotechnical peer review of soils and geologic reports for private development projects, provide testing and field observations and attend meetings as requested. Consultant shall provide the City with a not-to-exceed fee on a project by project basis for peer review and geologic reports for private development projects, provide testing and field observations and attend meetings as requested.. Exhibit A Page 1 ofl tf / 5::- ;) EXHIBIT B PAYMENT SCHEDULE . City shall pay Consultant on a time and expense basis not to exceed the total sum of FIFTY THOUSAND DOLLARS ($50,000) per year for services to be performed pursuant to this Agreement. Consultant shall submit invoices at the end of project based on the cost for services performed. The total sum stated above shall be the total which City shall pay for the services to be rendered by Consultant pursuant to this Agreement. City shall not pay any additional sum for any expense or cost whatsoever incurred by Consultant in rendering services pursuant to this Agreement City shall make no payment for any extra, further or additional service pursuant to this Agreement unless such e>..iI"a service and the price therefor is agreed to in writing executed by the City Manager or other designated official of City authorized to obligate City thereto prior to the time such extra service is rendered and in no event shall such change order exceed twenty- five percent (25%) of the initial contract price. The services to be provided under this Agreement may be terminated without cause at any point in time in the sole and exclusive discretion of City. If the Agreement is . terminated by City, Consultant shall be entitled to receive just and equitable compensation for any satisfactory work completed on ~uch documents and other materials to the effective date of such termination. In that event, all finished and unfinished documents and other materials shall, at the option of the City, become City's sole and exclusive property. Consultant hereby expressly waives any and all claims for damages or compensation arising under this Agreement. Consultant shall maintain adequate logs and timesheets in order to verify costs incurred to date. - The Consultant is not authorized to perform any services or incur any costs whatsoever Wlder the terms of this Agreement Wltil receipt of a fully executed Purchase Order from the Finance Department of the City of Dublin. u . City shall furnish physical facilities such as desks, filing cabinets, and conference space, as may be reasonably necessary for Contractor's use while consulting with City employees and reviewing records and the information in possession of City. The location, quantity, and time of furnishing said physical facilities shall be in the sole discretion of City. In no event shall City be obligated to furnish any facility which may involve incurring any direct expense, including, but not limiting the generality of this exclusion, long-distance telephone or other communication charges, vehicles, and reproduction facilities. Exhibit C Page 1 of 1 05/06/96 ~;- t 15 j~ EXHIBIT D G.ENERA.L PROVISIONS . 1. INDEPENDENT CONTRACTOR. At all times during the term of this Agreement, Consultant shall be an independent contractor and shall not be an employee of City. City shall have the right to control Consultant only insofar as the results of Consultant's engineering services rendered pursuant to this Agreement; however, City shall not have the right to control the means by which Consultant accomplishes services rendered pursuant to this Agreement. 2. LICENSES: PERMITS: ETC. Consultant represents and warrants to City that he has all licenses, permits, qualifications and approvals of whatsoever nature which are legally required for Consultant to practice his profession. Consultant represents and warrants to City that Consultant shall, at his sole cost and expense, keep in effect at all times during the term of this Agreement any licenses, permits, and approvals which are legally required for Consultant to practice his profession. 3. TIME. Consultant shall devote such time to the performance of services pursuant to this Agreement as may be reasonably necessary for satisfactory performance of Consultant's obligations pursuant to this Agreement. 4. INSURANCE REQUIREMENTS. Consultant shall procure and maintain for the duration of the contract insurance against claims for injuries to persons or damages to property which may arise from or in cOllllection -with the performance of the work hereunder by the Consultant, his agents. representatives, employees or subcontractors. The cost of such insurance shall be included in the Consultant's bid. A. Minimum Scope of Insurance. Coverage shall be at least as broad as: (If Insurance Services Office form number GL 0002 (Ed. 1/73) covering comprehensive General Liability and Insurance Services Office form number GL 0404 covering Broad Form Comprehensive General Liability; or Insurance Services Office Commercial General Liability coverage ("occurrence" form CG 0001). (2) Insurance Services Office form number CA 0.001 (Ed. 1/78) covering Automobile Liability, code 1 "any auto" and endorsement CA 0025. (3) Worker's Compensation insurance as required by the Labor Code of the State of California and Employers Liability Insurance. B. Minimum Limits of Insurance. Consultant shall maintain limits no less than: (1) General Liability: $1,000,000 combined single limit per occurrence for bodily injury, personal injury and property damage. If commercial General Liability Insurance or other form with a general aggregate limit is used, either the general aggregate limit shall apply separately to this project/location or the general aggregate limit shall be twice the required occurrence limit. . _ ,_:: :__ (2) . (3) Workers Compensation and Employers Liability: Workers Compensation limits as required by the Labor Code of the State of California and Employers Liability limits of$I,OOO,OOO per accident. C. Deductibles and Self-Insured Retentions. Any deductibles or self-insured retentions must be declared to and appro\'ed by the City. At the option of the City, either the insurer shall reduce or eliminate such deductibles or self-insured retentions as respects the City, its officers, officials and employees; or the Consultant shall procure a bond guaranteeing payment of losses and related investigations, claim administration and defense expenses. D. Other Insurance Provisions. The policies are to contain, or be endorsed to contain, the following provisions: (1) General Liability and Automobile Liability Coverages. . (a) The City, its officers, officials, employees and volunteers are to be covered as insureds as respects: liability arising out of activities performed by or on behalf of the Consultant; products and completed operations of the Consultant, premises owned, occupied or used by the Consultant, or automobiles owned, leased, hired or borrowed by the Consultant. The coverage shall contain no special limitations on the scope of the protection afforded to the City, its officers, officials or employees. The Consultant's insurance coverage shall be primary insurance as respects the City, its officers, officials and employees~ Any insurance or self- insurance maintained by the City, its officers, officials, employees or volunteers shall be excess of the Consultant's insurance and shall not contribute with it. (b) (c) Any failure to comply with reporting provisions of the policies shall not affect coverage provided to the City, its officers, officials, employees or volunteers. (d) The Consultant's insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer's liability. (2) Worker's Compensation and Employers Liability Coverage. The insurer shall agree to waive all rights of subrogation against the City, its officers, officials, employees and volunteers for losses arising from work performed by the Consultant for the City. (3) Professional Liability. Consultant shall carry professional liability insurance in an amount deemed by the City to adequately protect the City against liability caused by negligent acts, errors or omissions on the part of the Consultant in the course of performance of the services specified in this Agreement. . -(4) All Coverages. . Exhibit D PaQ:e 2 of 4 OS/28/96 . r/ -' -;;;- v -'j ./ Each insurance policy required by this clause shall be endorsed to state that coverage shall not be suspended, voided, cancelled by either party, reduced in coverage or in limits except after thirty (30) days prior written notice by certified mail, return receipt requested, has been given to the City. . E. Acceptabilitv ofInsurers. Insurance is to be placed with insurers with a Bests' rating of no less than A: VIII. F. Verification of Coveraf:e. Consultant shall furnish City with certificates of insurance a!ld with original endorsements effecting coverage required by this clause. The certificates and endorsements for each insurance policy are to be signed by a person authorized by that insurer to bind coverage on its behalf. The certificates and endorsements are to be received and approved by the City before work commences. The City reserves the right to require complete, certified copies of all required insurance policies, at any time. H. The Risk Manager of City may approve a variation of those insurance requirements upon a determination that the coverages. scope, limits and forms of such insurance are either not commercially available or that the City's interests are otherwise fully protected. 5. CONSULTANT NO AGENT. Except as City may specify in writing, Consultant shall have no authority, express or implied, to act on behalf of City in any capacity whatsoeve~ as an agent. Consultant shall have no authority, express or implied, pursuant to this Agreement to bind City to any obligation whatsoever. 6. ASSJGN1vfENT PROHIBITED. No party to this Agreement may assign any right or Obligation. pursuant to this Agreement. AIIy attempted or 'purported assignment of any right or obligation pursuant to this Agreement shall be void and of no effect. 7. PERSONNEL. Consultant shall assign only competent personnel to perform services pursuant to this Agreement. In the event that City, in its sole discretion, at any time during the term of this Agreement, desires the removal of any such persons, Consultant shall, immediately upon receiving notice from City of such desire of City, cause the removal of such person or persons. 8. ST Ar..i))ARD OF PERFORMANCE. Consultant shall perform all services required pursuant to this Agreement in the manner and according to the standards observed by a competent practitioner of the profession in which Consultant is engaged in the geographical area in which Consultant practices his profession. All instruments of service of whatsoever nature which Consultant delivers to City pursuant to this Agreement shall be prepared in a substantial, first class and workmanlike manner and conform to the standards of quality normally observed by a person practicing in Consultant's. profession. 9. HOLD HARMLESS AND RESPONSIBILITY OF CONSULTANTS. Consultant shall take all responsibility for the work, shall bear all losses and damages directly or indirectly resulting to him, to any sub consultant, to the City, to City officers and employees, or to parties designated by the City, on account of, and to the extent caused by, the negligent performance or character of the work, unforeseen difficulties, accidents, occurrences or other causes predicated on active or passive negligence of the Consultant or of his subconsultant. Consultant shall indemnify, defend and hold harmless the City, its officers, officials, directors, employees and agents from and against any or alUoss, liability, e>'''Pense, claim, costs (including costs of defense), suits, and . damages of every kind, nature and description'directly or indirectly arising from, and to the extent caused by~ the negligent performance. of the work.- This paragraph shall not be construed to exempt the City, its employees and officers from its own fraud, willful injury or violation of Jaw whether willful or negligent. By execution of this Agreement Consultant acknowledges and agrees that he has read and understands the provisions hereof and that this paragraph is a material element of consideration. . Approval of the insurance contracts does not relieve the Consultant or subconsultan1s from liability under this paragraph. 1 O. GOVERNMENTAL REGULATIONS. To the extent that this Agreement may be funded by fiscal assistance from another governmental entity, Consultant shall comply with all applicable rules and regulations to which City is bound by the terms of such fiscal assistance program. . 11. DOCUMENTS. All reports, data, maps, models, charts, designs, plans, studies, surveys, photographs, memoranda or other written documents or materials prepared by Consultant pursuant to this Agreement shall become the property of City upon completion of the work to be performed hereunder or upon termination of the Agreement. No such materials or properties' produced in whole or in part under this Agreement shall be subject to private use, copyrights, or patent rights by Consultant in the United States or in any other country without the express written consent of City. City shall have unrestricted authority to publish, disclose (as may be limited by the provisions of the California Public Records Act), distribute, and othenvise use, copyright or patent, in whole or in part, any such reports, studies, data, statistics, forms or other materials or properties produced under this Agreement. The prices listed herein are typical of engineering, inspection and testing services most frequently provided by BSK. Prices for other services and special quotations will b~ given upon request. Fees are subject to change without notice. Unit prices shown for the laboratory work, include reporting of laboratory test results and observations not calling for recommendations or conclusions. Field charges do not include office preparation of test summary and report. Limitation of LiabilitJ and Waiver on Condition In performing professional services, BSK & Associates (CONSULTA.."l"f) will use that degree of care and skill ordinarily exercised, under similar circumstances, by reputable members of the profession practicing in the same or similar locality. No other warrnnt)', expressed or implied is made or intended by the Proposal for professional services or by furnishing oral or written repon.~ of the findings made. Unless special arrangements are made in writing prior to commencement of work, it is agreed that CLIENT will limit any and all liability, claim for damages, cost of defense, or expenses to be levied against CONSULTAAl"f on account of any design defect, error, omission, or professional negligence to a sum not to exceed $50,000, or the amount of his fee, whichever is greater. Further, CLIEJ\l"f agrees to notif)' any contnlctor or subcontractor who may perform work in connection with any design, report. or study prepared by CONSULTANT of such limitation of liability for design defects, errors, omissions. or prof~sional negligence. and require as a condition precedent to their performing the work alike limitation of liability on their part a.~ aglllnst the CONSULTAAl"f. The CONSULTANTS financial responsibility to CLIENJ with respect to loss or damage to a sample while the sample is in the custody of CONSULTM'T, shall be limited to the value of the test perfonned (if any) on a replacement sample. 2. Disputes In the event that a dispute should arise relating to the performance of the services to be provided under these Terms and should that dispu~ result in litigation, it is agreed that the prevailing patt)' shall be entitled to recover all reasonable costs incurred in the defense of the claim, including staff time, coun costs, anorney's' fees, and other claim-related expenses. 3. Warrant)' of Authoti~. to Sign The person signing a contract subject to these Terms warrants he has authority as, or on behalf of, CLlEJ\! for whom or for whose beneiit the CONSULTA1\Ts services are rendered. If such a person does not have such authoriry, he agrees that he 15 personally liable for all breaches of the terms and bases for CONSULTANTs services, and that in any action against him for breach of such warranty, a reasonable anorne:y's fee shall be included in any judgment rendered. 4. Right of Entl:1' In the event that a PROJECT site is -not owned by CLIENT, CLIEI\1"f warrants that he has obtained permission for CONSULTM'T to enter site with all necessary equipment, in order to complete the work. '- While CONSULTA..h<J will take all reasonable precautions to minimize any damage 10 the propel'T)', it is understOod by CLIENT that in the normal course of work some damage may occur, the correction of which is not pan of these Terms. 5. Utilities In the prosecution of his work, CONSULTMl will take reasonable precautions to avoid damage or injury to subterranean structures or utilities. CLIEI\"'T agrees to hold CONSULTA..h<'T harmless for damages to subterranean structures which are not called to CONSULTANTs anention and correctly shown on furnished plans or encountered at locations approved by CLlEN1. 6. Samples SoiL ro::k, water and/or other samples are the property of CLIENT. CONSULT A1\l"f shall retain such samples for no longer than 45 days after issuing data obtained from testing, unless other arrangements are made in writing. Sbould any samples be contaminated by hazardous substances or suspected hazardous substances, it is CL~NTs responsibility to select and arrange for lawful disposal procedures; that is, procedures which encompass removing the contamlnated samples from CONSULTAJ\Ts custody and lransportin~ them 10 a disposal site. CLIEI'<'T is advised that, in all cas::s. prudence and good judgement should be applied in selecting and arranging for lawful disposal procedures. . jy '2/95 /1/ 1 /' )r 7. . Payment Invoices for CONSULTAATs s~rvices will be forwarded to CLIENT and will be due immediately, but will not be delinquent if paid on or before the 30th day following the date of the invoice. If payment is not so made, under provisions of these Terms, a late payment FINANCE CHARGE will be computed at the periodic rate of .833'i- per month, which is an ANNUAL PERCENTAGE RATE OF 10%, and an additional service charge in the sum of .667% per month, for a combined monthly interest and service charge in the sum of l.5% per month. Ownership of Documents ReportS, boring logs, field data, field notes, laboratol')' test data, calculations, estimates, and other documents prepared by CONSULTA'r\"T. as instrUments of service, shall remain the propeny of CONSULTANT. CLIE'r\"T agrees that repon and other work furnished to CLIENT or his agents, which is not paid for, will be returned upon demand and will not be used by CUENT for any purpose whatever. COKSULTA!\'7 will retain p~nin~nt records relating to the services performed for a period of five years following submission of the repon, during which period the records will be made a\'ailable to CLIEJ\"T at reasonable times. 9. Standard of Care Set"\"ic~s performed by CONSULTAN"T under these Terms will be conducted in a manner consistent with that level of care and skill ordinarily exercised by memb~rs of the profession currently practicing under similar conditions. No other warranty, expressed or implied. is made. Cl.lE.lI.:T recognizes that subsurface conditions may \'ary from those encountered at the location where horings, surveys, or explorations are made by CONSULTANT and that the data, interpretations and recommendations of CONSULTM"T are based solely on the iniormation available to him. CONSULT AJ\rr will be responsible for those data, interpretations. and recommendations. but shall not be responsible for the interpretation by others of the information developed. 10. Insurance CONSULTANT represents and warrants that it and its agents, staff and CONSULTAJ\"Ts employed by it is and are protected by workers compensation insurance and that CONSULT AA"T has such coverage under public liability and proper!)' damage insurance policies which CONSULTANT deems to be adequate. Certificates for all such policies of insurance shall he provided to ~~~~ . 11. Termination A~ents subject to these Tenn.s may be terminated by either party upon seven (J) days wrinen notice in the event of subsrantial failure by the other pany to perform in accordance with the terms. In the event of termination, or suspension for more than three (3) months, prior to completion of all reports contemplated by said Agrement, CONSULTANT may comple~ such analyses and records as are necessary to complete his files and ma;y also complete a repon on the services perfonned to the date of notice of ~rmination or suspension. The expenses of terminatlon or suspension shall include all direct cOSts of CONSULTANT in completing such analyses, records and reportS. 12. Assigns Neith~r CLIENT nor CONSULTANT may delegate, assign, sublet or transfer his duties or interest established under these Terms without the written consent of the other parry, except that CONSULTAJ\rr may use the services of persons and entities nOl in his employ when it is appropriate and customary to do so. 13. Notice to Property Owner If bills are nOl paid in full for the labor, services, equipment, or materials furnished or to be furnished, a Mechanic's Lien leading to the loss, through coun foreclosure proceedings. of all or pan of Owner's propeny being so improved may be placed agamst the propeny even though Owner has paid his conuactor in full. Discover)' of Unanticipated Hazardous Materials Certain typcs of hazardous materials or contaminanTS may exist at a site where there i.~ no reason to believe they could or should be pre.o;enL CONSULTMlT and CLlEJ\"'T agree that the discovery of unanticipated hazardous materials constitutes a changed condition mandating a renegotiation of the scope of work or termination of services. CONSULTM'T and CLIEJ\l"J" also agree that the discovery of unanticipated hazardous materials may make it necessary for CONSULT AJ\"T to rake immediate measure.~ to protect health and safery. CONSULTANT agrees to notify CLIENT as soon as procrically possible should unanticipated hazardous materials or suspected hazardous materials be encountered. CLIENT encourages CONSULT AJ\"T to rake any and all measures that in CONSULTM'Ts professional opinion are justified to preserve and protect the health and safety of CONSULTM'Ts peT$onnel and the public. CLlE!\'T agrees to compensate CONSULTANT for the additional cost of working to protect employees' and the public's health and safet~y.
