FINANCIAL IMPACT: No financial impact to the City. All costs associated with the contract to prepare the Specific Plan and Environmental Impact Report, if authorized by the City Council, would be borne by the Applicant, SunCal Companies/Argent Management. The work described in the Scopes of Work will not begin until the Applicant has funded their Developer Deposit Account to pay the cost of the contract. RECOMMENDATION: Staff recommends that the City Council: 1) Receive Staff presentation; 2) Take testimony from the Applicant and the public, 3) Deliberate; and 4) Adopt a Resolution approving a Consulting Services Agreement with RBF Consulting to prepare a Specific Plan and an Environmental Impact Report for the Dublin Crossing development project at Camp Parks. ~ ~~ i .,~mM.. ~a ~~... Submitted By Director of Community Development ~, Reviewed By Assistant City Manager Page 1 of 3 ITEM NO. 8.4 DESCRIPTION: Background Since 2001, the City Council has had, as a high priority goal, the processing of the Parks Reserve Forces Training Area (Camp Parks) General Plan and Specific Plan Amendment. A General Plan Amendment Study was requested by the U.S. Army Reserve, and on April 15, 2003, the City Council authorized the commencement of a General Plan Amendment Study for the 187 -acre project area, as shown below. Once the General Plan Amendment Study was authorized, City Staff began regular meetings with the U.S. Army Reserve and their representatives to begin considering potential land use combinations for the site. In 2004, the City, in partnership with the U.S. Army Reserve, engaged community members in a "Strategic Visioning _ c ........- - Process" that led to - - -.... _- ." - ";:1~RS.:rAB sao= _ ::-- the development of five conceptual land use plans. The City Council held meetings in February, March, and April 2005 to review and provide feedback on the conceptual land plans and the City Manager relayed the City Council's direction on the future development at Camp Parks to the U.S. Army. In October 2008, the U.S. Army Reserve announced the selection of SunCal Companies/Argent Management as the master developer for the project site. In April 2011, SunCal finalized an Exchange Agreement with the U.S. Army Reserve for the property that binds both parties to a timeline and satisfaction of certain requirements in order for development on the project site to proceed. In May 2011, City Staff began pre-development meetings with SunCal Companies/Argent Management. SunCal Companies/Argent Management is moving forward with preparing their proposal for the property, which the City will review and analyze in the coming months through the development review process. On August 16, 2011, Staff presented the City Council with a summary of the direction on key issues provided to the U.S. Army Reserve in 2005 and 2006 and sought City Council feedback and direction on certain issue areas where additional input was required. At this meeting, the City Council provided their input. Also at this meeting, City Staff noted that one of the next steps Page 2 of 3 in the planning process would be for the City to engage a consultant for the preparation of the project Environmental Impact Report and related Specific Plan. The current request is for the City Council to approve a Consulting Services Agreement with RBF Consulting to prepare the Specific Plan and Environmental Impact Report. ANALYSIS: RBF Consulting has prepared a Scope of Work and associated budget to prepare both the Dublin Crossing Specific Plan and Environmental Impact Report. The cost of the contract with RBF Consulting is not to exceed $368,535. This budget figure covers the preparation of both the Dublin Crossings Specific Plan and Environmental Impact Report, as described in the Scopes of Work included as exhibits to the Consulting Services Agreement. The Scopes of Work and Fee Proposals have been reviewed and agreed to by both City Staff and SunCal Companies/Argent Management (the Project Applicants). The cost to prepare the Specific Plan and Environmental Impact Report, as described in the Scopes of Work, will be paid for by SunCal Companies/Argent Management. As City Staff and RBF Consulting work through the Specific Plan process with SunCal Companies/Argent Management, there will be several opportunities for public input as well as workshops with both the City Council and Planning Commission. The development of the Specific Plan and the Environmental Impact Report is expected to take approximately 15 months. Adherence to this timeline assumes that SunCal Companies/Argent Management will work closely with the City to reach key milestones throughout the project's duration. NOTICING REQUIREMENTS/PUBLIC OUTREACH: A public notice is not required to approve a Consultant Services Agreement. ATTACHMENTS: 1. XX-11 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF DUBLIN APPROVING A CONSULTING SERVICES AGREEMENT WITH RBF CONSULTING TO PREPARE A SPECIFIC PLAN AND AN ENVIRONMENTAL IMPACT REPORT FOR THE DUBLIN CROSSING DEVELOPMENT PROJECT AT CAMP PARKS WHEREAS, a General Plan Amendment Study was requested by the U.S. Army Reserve in 2003 for the subject 187-acre land exchange parcel at the Camp Parks Reserve Forces Training Area; and WHEREAS; on April 15, 2003, the City Council authorized the commencement of a General Plan Amendment Study for the 187-acre parcel, now known as "Dublin Crossing"; and WHEREAS, City Staff coordinated with the Applicant to draft a scope of work for the creation of a Specific Plan and the necessary environmental documentation in accordance with the California Environmental Quality Act (CEQA) to analyze the impacts of development of the Dublin Crossing Project at Camp Parks; and WHEREAS, City Staff contacted RBF Consulting, a qualified and reputable planning and environmental consulting firm, for the purposes of preparing the Specific Plan and related CEQA compliance; and WHEREAS, RBF Consulting has shown that they have the ability to perform the planning and environmental consulting services required; and WHEREAS, RBF Consulting prepared a detailed Scope of Work and Fee Proposal for both the Specific Plan and Environmental Impact Report; and WHEREAS, a budget not to exceed $368,535 has been established for the Specific Plan and Environmental Impact Report inclusive; and WHEREAS, RBF Consulting will perform the work outlined in the Scopes of Work and Fee Proposals once the contract is executed and once the Project Applicant has funded the Developer Deposit Account to complete the work described in the Scopes of Work; and WHEREAS, all costs associated with the preparation of the Specific Plan and Environmental Impact Report shall be borne by the Applicant; and NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Dublin does hereby approve a Consulting Services Agreement with RBF Consulting, attached hereto as Exhibit A, to prepare a Specific Plan and Environmental Impact Report for the Dublin Crossing development project at Camp Parks for a fee not to exceed $368,535. BE IT FURTHER RESOLVED that the City Manager of the City of Dublin is hereby authorized to execute said Consulting Services Agreement (attached hereto as Exhibit A). PASSED, APPROVED AND ADOPTED this 20th day of December, 2011, by the following vote: AYES: NOES: ABSENT: ABSTAIN: Mayor ATTEST: City Clerk CONSULTING SERVICES AGREEMENT BETWEEN THE CITY OF DUBLIN AND RBF CONSULTING THIS AGREEMENT for consulting services is made by and between the City of Dublin ("City"} and RBF Consulfing ("Consultant") as of December 20, 2011. Section 1. SERVICES. Subject to the terms and conditions set forth in this Agreement, Consultant shall provide to City the services described in the Scopes of Work attached as Exhibit A (Dublin Crossing S ecifc Plan and Exhibit B Dublin Crossin Environmenkal Im act Re ort at the time and place and in the manner specified therein. In the event of a conflict in or inconsistency between the terms of this Agreement and Exhibits A or B, the Agreement shall prevail. 1.1 Term of Services. The term of this Agreement shall begin on the date first noted above and shall end no later than June 30, 2013, and Consultant shall complete the work described in Exhibits A and B prior to thak date, unless the Perm of the Agreement is otherwise terminated or extended, as provided for in Section 8. The time provided to Consultant to complete the services required by this Agreement shall not affect the Cit}r's right to terminate the Agreement, as provided for in Section 8. 1.2 Standard of Performance. Consultant shall perform all services required pursuant to this Agreement in the manner and according to the standards observed by a competent practitioner of the profession in which Consultant is engaged in the geographical area in which Consultant practices its profession. Consultant shall prepare all work products required by this Agreement in a substantial, firsk-class manner and shall conform ko the standards of quality normally observed by a person practicing in Consultant's profession. 1.3 Assi nment of Personnel. Consultant shall assign only competent personnel to perform services pursuant to this Agreement. In the event that City, in its sole discretion, at any time during the term of this Agreement, desires the reassignment of any such persons, Consultant shall, immediately upon receiving notice from City of such desire of City, reassign such person or persons. 1.4 Time. Consultant shall devote such time to the performance of services pursuant to this Agreement as maybe reasonably necessary to meet the standard of performance provided in Section 1.1 above and to satisfy Consultant's obligations hereunder. Section 2, COMPENSATION. City hereby agrees to pay Consultant a sum not to exceed $368,535, notwithstanding any contrary indications that maybe contained in Consultant's proposal, for services to be performed and reimbursable costs incurred under this Agreement. In the event of a confiic# between this Agreement and Consultant`s proposal, attached as Exhibits A and B, regarding the amount of compensation, the Agreement shall prevail. City shall pay Consultant for services rendered pursuant to this Agreement at the time and in the manner set forth herein. The payments specified below shall be the only payments from City to Consultant for services rendered pursuant #o this Agreement. Consultant and City acknowledge and agree that compensation paid by City to Consultant under this Agreement is based upon Consultant`s estimated costs of providing the services required hereunder, including salaries and benefits of employees and subcontractors of Consultant. Consequently, the parties further agree that compensation hereunder is intended to include the costs of contributions to any pensions andlor annuities to which Consultant and its employees, agents, and subcontractors may be eligible. City therefore has no responsibility for such contributions beyond compensation required under this Agreement, 2.1 Invoices. Consultant shall submit invoices, not more often than once a month during the term of this Agreement, based on the cost far services performed and reimbursable costs incurred prior to the invoice date. Said invoices shall reflect the specific tasks and timetables identified in Exhibits A and B attached. Invoices shall contain the fallowing information: ^ Serial identifications of progress bills; i.e., Progress BIII No.1 for the first invoice, etc.; ^ The beginning and ending dates of the billing period; ^ A Task Summary containing the original contract amount, the amount of prior billings, the total due this period, the balance available under the Agreement, and the percentage of completion; ^ At Cites option, for each work item in each task, a copy of the applicable time entries or time sheets shall be submitted showing the name of the person doing the work, the hours spent by each person, a brief description of the work, and each reimbursable expense; ^ The total number of hours of work performed under the Agreement by Consultant and each employee, agent, and subcontractor of Consultant performing services hereunder, as well as a separate notice when the total number of hours of work by Consultant and any individual employee, agent, or subcontractor of Consultant reaches or exceeds 800 hours, which shall include an estimate of the time necessary to complete the work described in Exhibifs A and B; ^ The Consultant's signature. 2.2 Monthly Payment. City shall make monthly payments, based on invoices received, for services satisfactorily performed, and far authorized reimbursable costs incurred. City shall have 30 days from the receipt of an invoice that complies with all of the requirements above to pay Consultant. 2.3 Final Payment, City shall pay the last 14% of the total sum due pursuant to this Agreement within sixty (60) days after completion of the services and submittal to City of a final invoice, if all services required have been satisfactorily performed. City shall make no payment for any extra, further or additional services pursuant to this Agreement unless such extra service, and the price therefore, is agreed to in writing, executed by the City Manager or other designated official of the City authorized to obligate City thereto prior to the time such extra service is rendered and in no event shall such change order exceed twenty-five percent (25%} of the initial contract price. 2.5 Total Payment. City shall pay for the services to be rendered by Consultant pursuant to this Agreement. City shall not pay any additional sum for any expense ar cost whatsoever incurred by Consultant in rendering services pursuant to this Agreement. City shall make no payment for any extra, further, or additional service pursuant to this Agreement. In no event small Consultant submit any invoice for an amount in excess of the maximum amount of compensation provided above either far a task or for the entire Agreement, unless the Agreement is modified prior to the submission of such an invoice by a properly executed change order or amendment. 2.6 Nourl~,Fees. Fees far work performed by Consultant on an hourly basis shall not exceed the amounts shown in Exhibits A and B. 2.7 Reimbursable Expenses. Reimbursable expenses are specified in Exhibits A and B, and shall not exceed the amounts noted in Exhibits A and B. Expenses not listed in Exhibits A and B are not chargeable to City. Reimbursable expenses are included in the total amount of compensation provided under this Agreement that shall not be exceeded. 2,8 Payment of Taxes. Consultant is solely responsible for the payment of employment taxes incurred under this Agreement and any similar federal or sfate taxes, 2.9 Payment upon Termination. In the event that the City or Consultant terminates this Agreement pursuant to Section 8, the City shall compensate the Consultant for all outstanding costs and reimbursable expenses incurred for work satisfactorily completed as of the dafe of written notice of termination. Consultant shall maintain adequate fags and timesheets in order to verify costs incurred to thak date, 2,10 Authorization to Perform Services. The Consultant is not authorized to perform any services or incur any costs whatsoever under the terms of this Agreement until receipt of authorization from the Contract Administrator. Section 3. FACILITIES AND E UIPMENT. Except asset forth herein, Consultant shall, at its sole cost and expense, provide all facilities and equipment that may be necessary to perform the services required by this Agreement. Section 4. INSURANCE REQU_I_REMENTS. Before beginning any work under this Agreement, Consultant, at its own cost and expense, shall procure "occurrence coverage" insurance against claims for injuries to persons or damages to property that may arise from or in connection with the performance of the Consulting Services Agreement between December 20, 2011 City of Dublin and RBF Consulting Page 3 of 55 work hereunder by the Consultant and its agents, representatives, employees, and subcontractors. Consultant shall provide proof satisfactory to City of such insurance that meets the requirements of this section and under forms of insurance satisfactory in all respects to the City. Consultank shall maintain the insurance policies required by this section throughout the term of this Agreement. The cost of such insurance shall be included in the Consultant's bid. Consultant shall not allow any subcontractor to commence work on any subcontract until Consultant has obtained ail insurance required herein for the subconfractor(s)ond provided evidence thereof to City. Verification of the required insurance shall be submitted and made park of this Agreement prior to execution. 4.1 Workers' Compensation. Consultant shall, at its sole cost antl expense, maintain Statutory Workers` Compensation Insurance and Employer's Liability Insurance for any antl all persons employed directly or indirectly by Consultant. The Statutory Workers' Compensation insurance and Employers Liability Insurance shall be provided with limits of not less than ONE MILLION DOLLARS ($1,000,000.00) per accident. In the alternative, Consultant may rely on aself-insurance program to meet those requirements, but only if the program of self-insurance complies fully with the provisions of the California Labor Code. Determination of whether a self insurance program meets the standards of the Labor Code shall be solely in the discretion of the Contract Administrator. The insurer, if insurance is provided, or the Consultant, if a program of selfinsurance is provided, shall waive all rights of subrogation againsk the City and its officers, officials, employees, and volunteers for loss arising from work performed under this Agreement. An endorsement shall state that coverage shall not be suspended, voided, canceled by either party, reduced in coverage or in limits, except after thirty (30}days' prior written notice by certified mail, refurn receipt requested, has been given to the Gity. ~4.2 Commercial Genera[ and Automobile Liability_ Insurance. 4.2.1 General requirements. Consultant, at its own cost and expense, shall maintain commercial general and automobile liability insurance for the term of this Agreement in an amount not less than ONE MILLION DOLLARS ($1,000,000.00} per occurrence, combined single limit coverage for risks associaked with the work contemplated by khis Agreement. If a Commercial General Liability Insurance or an Automobile Liability form ar other form with a general aggregate limit is used, either the general aggregate limit shall apply separately to the work to be performed under this Agreement ar the general aggregate limit shall be at least twice the required occurrence limit. Such coverage shall include but shall not be limited to, protection against claims arising from bodily and personal injury, including death resulting therefrom, and damage to property resulting from activities contemplated under this Agreement, including the use of owned and non- owned automobiles. 4.2.2 Minimum scope of caveraue. Commercial general coverage shall be at least as broad as Insurance Services Office Commercial General Liability occurrence form CG 0001 (ed.11l88} or Insurance Services Office form number GL 0002 (ed.1f73) Consulting Services Agreement between December 20, 2011 City of Dublin and RSI= Consulting page 4 of 55 covering comprehensive General Liability and Insurance Services Office form number GL 040 covering Broad Form Comprehensive General Liability. Automobile coverage shall beat least as broad as Insurance Services Office Automobile Liability farm CA 0001 (ed.12l90) Gode 1 ("any auto"}. No endorsement shall be attached limiting the coverage. 4.2.3 Additional re uirements. Fach of the following shall be included in the insurance coverage or added as an endorsement to the policy: a. City and its officers, employees, agents, and volunteers shall be covered as insureds with respect to each of the following: liability arising out of activities performed by or on behalf of Consultant, products and completed operations of Consultant; premises owned, occupied, or used by Consultant, and automobiles owned, leased, or used by the Consultant. The coverage shall contain no special limitations on the scope ofi protection afforded to Cify or its officers, employees, agents, or volunteers. b. The insurance shall cover an an occurrence or an accident basis, and not on a claims-made basis. c. An endorsement must state that coverage is primary insurance with respect to the City and its officers, officials, employees and volunteers, and that no insurance orself-insurance maintained by the City shall be called upon to contribute to a loss under the coverage. d. Any failure of CONSULTANT to comply with reporting provisions of the policy shall not affect coverage provided to CITY and its officers, employees, agents, and volunteers. e. An endorsement shall state that coverage shall not be suspended, voided, canceled 6y either party, except after thirty X30) days' prior written notice has been given to the City. ~.3 Professional Liability Insurance. Consultant, at its own cost and expense, shall maintain far the period covered by this Agreement professional liability insurance for licensed professionals performing work pursuant to this Agreement in an amount not Less than ONB MILLION DOLLARS 01,000,000) covering the licensed professionals' errors and omissions. 4.3.1 Any deductible orself-Insured retention shall not exceed $150,000 per claim. q.3.2 An endorsement shall state that coverage shall not be suspended, voided, canceled by either party, except after thirty (30) days' prior written notice has been given to the City. Consulting Services Agreement between December 20, 2011 City of Dublin and RBF Consulting Page 5 of 55 4.3.3 The policy must contain a cross liability or severability of interest clause. 4.3.4 The following provisions shall apply if the professional liability coverages are written on a claims-made form: The retroactive date of the policy must be shown and must be before the date of the Agreement. b, insurance must be maintained and evidence of insurance must be provided for at least five years after completion of the Agreement or the work, so long as commercially available at reasonable rates. c. If coverage is canceled or not renewed and it is not replaced with another claims-made policy form with a retroactive date thaf precedes the date of this Agreement, Consultant must provide extended reporting coverage for a minimum of five years after completion of the Agreement or the work. The City shall have the right to exercise, at the Consultant's sole cost and expense, any extended reporting provisions of the policy, if the Consultant cancels or does not renew the coverage. d, A copy at the claim reporting requirements must be submitted to the City prior to the commencement of any work under this Agreement. 4.4 All Foficies Requirements. 4,4.1 Acceptability of_insurers. All insurance required by this section is to be placed with insurers with a Bests' rating of no less than A,VfI. 4.4.2 Verification of covera e. Prior to beginning any work under this Agreement, Consultant shall furnish City with certificates of insurance and with original endorsements effecting coverage required herein, The certifcates and endorsements for each insurance policy are to be signed by a person authorized by thak insurer to bind coverage on its behalf. The City reserves the right to require complete, certified copies of all required insurance policies, at any time. 4.4.3 Subcontractors. Consultant shall include all subcontractors as insureds under its policies ar shall furnish separate certificates and endorsements for each subcontractor. All coverages far subcontractors shall be subject to all of the requirements stated herein. 4.4.4 Variation, The City may approve a variation in the foregoing insurance requirements, upon a determination that the coverages, scope, limits, and farms of such insurance are either not commercialiy available, or that the Ci#~s interests are otherwise fully protected. Consulting Services Agreement between December 20, 2011 City of Dublin and RBF Consulting rage 6 of 55 4.4.5 Deductibles and Self-Insured Retentions. Consultant shall disclose to and obtain the approval of City far the self-insured retentions and deductibles before beginning any of the services or work called for by any term of this Agreement. Curing the period covered by this Agreement, only upon the prior express written authorization of Contract Administrator, Consultant may increase such deductibles orself-insured retentions with respect to City, its officers, employees, agenfs, and volunteers. The Contract Administrator may condition approval of an increase in deductible or self-insured retention levels with a requirement that Consultant procure a bond, guaranteeing payment of losses and relaked investigations, claim administration, and defense expenses that is satisfactory in all respects to each of them. 4.4.6 Notice of Reduction in Coverage. In the event that any coverage required by this section is reduced, limited, or materially affected in any other manner, Consultant shall provide written notice to City at Consultant's earliest possible opportunity and in no case later than five days after Consultant is notified of the change in coverage. 4.5 Remedies. In addition to any other remedies City may have if Consultant fails to provide or maintain any insurance policies or policy endorsements to fhe extent and within the time herein required, City may, at its sole option exercise any of the follov~ing remedies, which are alternatives to other remedies City may have and are not the exclusive remedy for Consultant's breach: ^ Obtain such insurance and deduct and retain the amount of the premiums for such insurance from any sums due under the Agreement; ^ Order Consultant to stop work under this Agreement or withhold any payment that becomes due to Consultant hereunder, or both stop work and withhold any payment, until Consultant demonstrates compliance with the requirements hereof; andlor ^ Terminate this Agreement. Section 5. INDEMNIFICATION AND CONSULTANT'S RESPONS1131LITIES. Consultant shall indemnify, defend with counsel selected by the City, and hold harmless the City and its officials, officers, employees, agenfs, and volunteers from and against any and all losses, liability, claims, suits, actions, damages, and causes of action arising out of any personal injury, bodily injury, loss of life, or damage to property, or any violation of any federal, state, or municipal law or ordinance, to the extent caused by the willful misconduct ar negligent acts or omissions of Consultant or its employees, subcontractors, or agents, by acts for which they could be held strictly liable, or by the quality or character of their work. The foregoing obligation of Consultant shall not apply when (1) the injury, loss of life, damage to property, or violation of law arises wholly from the negligence or willful misconduct of the City or its officers, employees, agents, or volunteers and (2}the actions of Consultant or its employees, subcontractor, ar agents have contributed in Consulting Services Agreement between December 20, 2011 Gity of Dublin and f~Bl= Consulting Page 7 of 55 no part to the injury, loss of life, damage to property, or violation of law, it is understood that the duty of Gonsultant to indemnify and hold harmless includes the duty to defend asset forth in Section 2778 of the California Civil Code. Acceptance by City of insurance certificates and endorsements required under this Agreemenf does not relieve Consultant from liability under this indemnification and hold harmless clause. This indemnification and hold harmless clause shall apply to any damages or claims for damages whether or not such insurance policies shall have been determined to apply. By execution of this Agreement, Consultant acknowledges and agrees fo the provisions of this Section and that it is a material element of consideration. In the event thak Consultant ar any employee, agent, or subcontractor of Gonsultant providing services under this Agreement is determined by a courk of competent jurisdiction or the California Public Employees Retirement System {PERS) to be eligible for enrollment in PERS as an employee of City, Consultant shall indemnify, defend, and hold harmless City far the payment of any employee andlor empioyer contributions for PERS benefits on behaif of Consultant or its employees, agents, or subcontractors, as well as for the payment of any penalties and interest on such contributions, which would otherwise be the responsibility of City. Section 6. STATUS OF CONSULTANT. 6.1 Independent Contractor. At all times during the term of this Agreement, Consultant shall be an independent contractor and shall not be an employee of City. City shall have the right to control Consultant only insofar as the resuits of Consultant's services rendered pursuant to this Agreement and assignment of personnel pursuant to Subparagraph 1.3; however, otherwise City shall not have the right to control the means by which Consultant accomplishes services rendered pursuant to this Agreement. Notwithstanding any other City, state, or federal policy, rule, regulation, law, or ordinance to the contrary, Consultant and any of its employees, agents, and subcontractors providing services under this Agreement shall not qualify for or become enfitled to, and hereby agree to waive any and all claims to, any compensation, benefit, or any incident of employment by City, including but not iimited to eligibility #o enroll in the California Public Employees Retirement System (PERS) as an employee of City and entitlement to any contribution tv be paid by City far employer contributions andlor employee contributions for PERS benefits. 6.2 Consultant No A ent. Except as City may specify in writing, Consultant shall have no authority, express or implied, to act on behalf of City In any capacity whatsoever as an agent, Consuitant shat[ have no authority, express yr impiied, pursuant to this Agreemenf to bind City to any obligation whatsoever. Section 7. LEGAL REQUIREMENTS. 7.1 Governinn Law. The laws of the State of California shall govern this Agreement. 7.2 Compliance with Applicable Laws. Consultant and any subcontractors shall comply with all laws applicable to the performance of the work hereunder. To the extent that this Agreement may be funded by fiscal assistance from another governmental entity, Consultant and any subcontractors shall comply with all applicable rules and regulations to which City is bound by the terms of such fiscal assistance program. 7.4 Licenses and Permits. Consultant represents and warrants to City that Consultant and its employees, agents, and any subcontractors have all licenses, permits, qualifications, and approvals of whafsaever nature that are legally required to practice their respective professions. Consultant represents and warrants to City that Consultant and its employees, agents, any subcontractors shall, at their sole cost and expense, keep in effect at al{ times during the term of this Agreement any licenses, permits, and approvals that are legally required to practice their respective professions. In addition to the foregoing, Consultant and any subcontractors shall obtain and maintain during the term of this Agreement valid Business Licenses from City, 7.5 Nondiscrimination and Equal. ~~portunitx Consultant shall not discriminate, on the basis of a person's race, religion, color, national origin, age, physical or mental handicap or disability, medical condition, marifal status, sex, or sexual orientation, against any employee, applicant for employment, subcontractor, bidder for a subcontract, or participant in, recipient of, or applicant far any services or programs provided by Consultant under this Agreement. Consultant shall comply with all applicable federal, state, and local laws, policies, rules, and requirements related to equal opportunity and nondiscrimination in employment, contracting, and the provision of any services that are the subject of this Agreement, including but not limited to the satisfaction of any positive obligations required of Consultank thereby, Consultant shall include the provisions of this Subsection in any subcontract approved by the Contract Administrator or this Agreement. Section 8. TERMINATION AND MODII=ICATION. 8.1 Termination. City may cancel this Agreement at any time and without cause upon written notification to Consultant. Consul#ant may cancel this Agreement upon ten (10) days` written notice to City and shall include in such notice the reasons for cancellation. In the event of termination, Consultant shall be entitled #o compensation for services performed fo the effective date of termination; City, however, may condition payment of such compensation upon Consultant delivering to City any or all documents, photographs, computer software, video and audio tapes, and other materials provided to Consultant or prepared by ar for Consultant or the Ci#y in connection with this Agreement, 8.2 Extension. City may, in its sole and exclusive discretion, extend the end date of this • Agreement beyond that provided for in Subsection 1.1. Any such extension shall require a Consulting Services Agreement between December 20, 2011 City of Dublin and RBP Consulting Page 9 of 55 written amendment to this Agreement, as provided for herein. Consultant understands and agrees that, if City grants such an extension, City shall have no obligation to provide Consultant with compensation beyond the maximum amoun# provided for in this Agreement. Similarly, unless authorized by the Contract Administrator, City shall have no obligation to reimburse Consultant for any otherwise reimbursable expenses incurred during the extension period. 8.3 Amendments. The parties may amend this Agreement only by a writing signed by all the parties. 8.4 Assignment and Subcontracting. City and Consultant recognize and agree that this Agreement contemplates personal performance by Consultant and is based upon a determination of Consultant's unique personal competence, experience, and specialized personal knowledge. Moreover, a subskantial inducement to City for entering info this Agreement was and is the professional reputation and competence of Consultant. Consultant may not assign this Agreement or any interesk therein without the prior written approval of the Contract Administrator. Consultant shall not subcontract any portion of the performance contemplated and provided for herein, other than to the subcontractors noted in the proposal, without prior written approval of the Contract Administrator. 8.5 Survivat. All obligations arising prior to the termination of this Agreement and all provisions of this Agreement allocating liability between City and.Consultant shat! survive the termination of this Agreement. 8.6 0 bans u on Breach b Consultant. if Consultant materially breaches any of the terms of this Agreement, Cites remedies shall included, but not be limited to, the following: 8.6.1 Immediately terminate the Agreement; 8.6.2 Retain the plans, specifications, drawings, reports, design documents, and any other work product prepared by Consultant pursuant to this Agreement; 8.6.3 Retain a different consultant to complete the work described in Exhibits A and B not finished by Consultant; or 8.6.4 Charge Consultant the difference between the cost to complete the work described in Exhibits A and B that is unfinished at the time of breach and khe amount that City would have paid Consultant pursuant to Section 2 if Consultant had completed the work. Section 9. KEEPING AND STATt1S OF RECORDS. 9.1 Records Created as Part of Consultant's Performance. All reports, data, maps, models, charts, studies, surveys, photographs, memoranda, plans, studies, specifications, records, files, or any other documents or materials, in electronic or any other form, that Consulting Services Agreement between December 20, 2011 City of Dublin and RBi' Gonsulting Page 10 of 55 Gonsultant prepares or obtains pursuant to this Agreement and that relate to the matters covered hereunder shall be the property of the City. Consultant hereby agrees to deliver those documents to the City upon termination of the Agreement, if is understood and agreed that the documents and other materials, including but not limited fo those described above, prepared pursuant to this Agreement are prepared specifcally for the City and are not necessarily suitable for any future or other use. City and Consultant agree that, until final approval by City, all data, plans, specifications, reports and other documents are confidential and will not be released to third parties without prior written consent of both parties. 9,2 Consultant's Kooks and Records. Consultant shall maintain any and all ledgers, books of account, invoices, vouchers, canceled checks, and other records or documents evidencing or relating to charges for services or expenditures and disbursements charged to the City under this Agreement for a minimum of three (3) years, or for any longer period required bylaw, from the date of final payment to the Consultant to this Agreement. 9.3 Inspection and Audt_of Records. Any records or documents that Section 9,2 of this Agreement requires Consultant to maintain shall be made available for inspection, audit, andlor copying at any time during regular business hours, upon oral or written request of the City. Under California Government Code Section 8546.7, if the amount of public funds expended under this Agreement exceeds TE,N THOUSRND DOLLARS ($10,000.00), the Agreement shall be subject to the examination and audit of the State Auditor, at the request of City or as part of any audik of the City, for a period of three (3) years after final payment under the Rgreement. Section 10 MISCELLANEOUS PROVISIONS. 10.1 Attorneys' Fees. If a party to this Agreement brings any action, including an action for declaratory relief, #o enforce or interpret the provision of this Agreement, the prevailing parley shall be entitled to reasonable attorneys' fees in addition to any other relief to which that party may be entitled. The court may set such fees in the same action or in a separate action brought for that purpose. 10.2 Venue. In the event that either party brings any action against the other under this Agreement, the parties agree that trial of such action shall be vested exclusively in the state courts of California in the County of Alameda or in the United States District Court far the Northern District of California. 10.3 Severability. if a court of competent jurisdiction finds or rules that any provision of this Agreemenk isis invalid, void, or unenforceable, the provisions of this Agreement not so adjudged shall remain in full force and effect. The invalidity in whole or in part of any provision of this Rgreement shall not void or affect the validity of any other provision of this Agreement. The waiver of any breach of a specific provision of this Agreement does not constitute a waiver of any other breach of that term or any other term of this Agreement. 10.5 Successors and Assi ns. The provisions of this Agreement shall inure to the benefit of and shall apply to and bind the successors and assigns of the parties. 10.6 Use of Recycled Products. Consultant shall prepare and submit all reports, written studies and other printed material on recycled paper to the extent it is available at equal or less cost than virgin paper. 10.7 Conflict of Interest. Consultant may serve other clients, but none whose activities within the corporafe limits of City or whose business, regardless of location, would place Consultant in a °conflict of interest, as that term is defined in the Political Reform Act, codified at California Government Code Section 81000 etseg. Consultant shall not employ any City official in the work performed pursuant to this Agreement. No officer or employee of Gity shall have any financial interest in this Agreement that would violate California Government Cade Sections 1090 et seg. Consultant hereby warrants that.it is nok now, nor has it been in the previous twelve (12) months, an employee, agent, appointee, or official of the Cify. If Consultant was an employee, agent, appointee, or official of the City in the previous twelve months, Gonsulfant warrants that it did not participate in any manner in the farming of this Agreement. Consultant understands #hat, if this Agreement is made in violation of Government Code §1090 et.seg., the entire Agreement is void and Consultant will not be entitled to any compensation for services performed pursuant to this Agreement, including reimbursement of expenses, and Consultant will be required to reimburse the Cify for any sums paid to the Consultant. Consultank understands that, in addition to the foregoing, it maybe subject to criminal prosecution for a violation of Government Code § 1090 and, if applicable, will be disqualified from holding public office in the State of California. 10.8 Solicitation. Consultant agrees not to solicit business at any meeting, focus group, or interview related to this Agreement, either orally or through any written materials. 10.9 Contract Administration. Purpose and Intent of the Specific Plan The purpose of the Specific Plan is to provide policy direction and guidance on how the properties would transition from former government lands with a General Plan land use designation of "Public Lands" into a new neighborhood with a mix of residential, commercial, public, and open space uses. The Specific Plan would not only provide the general vision and broad policy concepts to guide development for a new neighborhoods within the community, but also provide the details on the type, location, and intensity of uses, define the capacity and design of needed public improvements and infrastructure, and determine the resources necessary to finance and implement the public improvements and infrastructure needed to support the vision. There are several important and distinctive features of this Specific Plan that will need to be included in the plan or addressed during plan development: 1. The Specific Plan should incorporate policies and implementation measures to insure the creation of apedestrian-oriented neighborhood. The neighborhood should contain a variety of public parks and open space connections that will provide convenient recreational opportunities adjacent to residents and that link the various sections of the project area to one another as well as to nearby uses. 2. The Specific Plan should be highly graphic in nature, and should illustrate key design principles through graphics, exhibits, and photographs. 3. The Specific Plan should be consistent with the Dublin General Plan (as amended), and specifically the Community Design and Sustainability Element. The concepts of sustainability should be woven throughout the plan and incorporated wherever logical and appropriate. 4. The Specific Plan should address water conservation and water quality control. The Project Team will include the Applicant and their technical consultants, City of Dublin departmental staff (primarily Community Development, Public Works & Engineering, City Manager's Office, Parks & Community Services, Economic Development, Police Services, and Fire Services & Prevention) and the planning and engineering support services from the RBF. Most important, the guidelines should convey to the reader the expectations for high quality development. Identification of all necessary transportation improvements inside and outside the Specific Plan area that provides sufficient capacity to support the proposed land uses. b. A roadway network plan that provides alignments for all interior, neighborhood, collector, and arterial type roads within the Specific Plan .area, which is consistent with good civil and traffic engineering practices and consistent with the "complete streets" concept -recognizing that streets function more than vehicle moving purposes but are essential for pedestrian and bicycle travel, and should be designed and maintained as a safe and attractive public spaces that support walking, bicycling, and public transit while incorporating adequate traffic calming measures to insure neighborhood safety. c. A pedestrian and bicycle network plan that links the new residential uses to parks, schools, community facilities, regional trails, and provides direct physical links to the Iron Horse Trail, the Transit Center across Dublin Boulevard, and to BART. The plan should be in conformance with the City's Bikeways Master Plan and Draft Sustainable Neighborhood Design Strategy. d. Opportunities for improved transit service for the Specific Plan area to reduce vehicular trips and to improve linkages within and connections to other communities in the region. e. Develop transportation/circulation diagrams and maps. f. Preparation of a shared parking plan for the mixed-use and commercial areas. B. Utilities and Public Services Facilities Plan: The plan should define size and location of utilities and public service facilities, and it should: a, Analyze existing utility system (e.g. water, sewer, gas and electrical power, and telecommunications) for future points of connection and expansion., b. Identify location and sizing of water and storm and sanitary sewer facilities within the Specific Plan Area based upon planned land uses. Wastewater Flood Control and Water unlit Plan: a. Analyze existing flood control and drainage system for future points of connection and expansion. b. Identify location and sizing a# existing flood control and drainage facilities within the Specific Plan Area based upon planned land uses and determine any augmentation needed. c. Delineate amount of land needed for rights-of-way and easements for flood control, water quality control, and drainage facilities. d. RBF has reviewed the existing background technical reports provided by the project applicant, which were prepared by the U.S. Army and others, to analyze the environmental constraints at the project site. These reports are listed in Appendix A. Task 1.1: Plroect Initiation Task l .l will provide RBF with clear direction and information required to begin work on the EIR. This task includes preparation of the Notice of Preparation {NOP}, and conducting a public scoping meeting for the proposed project. Kickoff Meeting RBF will attend a kickoff meeting with City staff and other members of the project team to orient all parties to the proposed project and the scope of work, This meeting would include a review of the overall schedule and the responsibilities of the various members of the project team. RBF would obtain copies of any additional relevant documents and studies completed on behalf of the City or the project applicant and confirm the project schedule with City staff and project applicant. One of the most important ac#ivities at the meeting will be a discussion of the City's goals for the proposed project and the project team, the roles of all consultants, and an understanding of the desired end products. This will help ensure that all elements needed to complete the project successfully are covered and will allow gaps to be identified and filled. We will also review communication protocols between RBF and the City, other members of the project team, and the project applicant. The draft project description for the Specific Plan, as prepared by the project applicant, will be used as the basis for preparing the project description, as required by CEQA. This scope of work assumes that the project applicant will be providing a set of project objectives (as defined by CEQA] associated wifh the project description. RBF will work proactively with the City and the Applicant to expedite the EIR project schedule as fast as is practical. However, to avoid duplication of work, preparation ofi the impact section(s) of the EIR will not be initiated until the relevant technical studies that pertain to that respective environmental resource have been completed and the Draff Specific Plan is deemed complete and acceptable by the City. Notice of Preparation Because the City has determined that the proposed project would require aproject- level EIR, RBF proposes preparation of a detailed NOP for the proposed project that explains what environmental issues would not be addressed within the EIR je.g. impacts to agricultural resources and mineral resources), focusing discussion on the potentially significant environmental affects of the proposed project (e.g. hazardous materials, traffic, air quality, etc.). This would eliminate the need for preparing an initial study. The NOP will adhere to the content requirements set forth in CEQA Guidelines, including information describing the proposed Specific Plan, its location, and probable environmental effects. RBF will also prepare the public notices advertising the proposed scoping meeting and will work with the City to ensure the notices (NOP and Notice of scoping Meetings] are published and distributed to responsible agencies and the Office of Planning and Research jOPR). This scope of work assumes that the City would provide payment for publication of the notice in applicable newspapers. Comments received during the 30-day public review period for the NOP will be used to finalize the scope of the EIR. RBF will review and fist all comments and determine whether any issues require a modification to the scope of services. The list of comments received will be provided to the project team. Public scoping Meeting RBF will coordinate and assist the Cify in conducting a public scoping meeting for the proposed project. The proposed project would be presented at the scoping session along with a brief overview ofi the probable environmental effects of the proposed project. For budgeting purposes, this task assumes preparation for and attendance at one scoping meeting by two staff members. Task 1.2: Administrative ®raft EIR The specific work efforts related to the environmental analysis that will be conducted in support of the E!R are described in this section. All of this information will be included in the Administrative Draft EIR {internal draf#} for review and comment by the City. Executive Summary RBF will provide an Executive Summary for the EIR including summary of the project, an overview of project impacts, mitigation, and levels of significance after mitigation, summary of project alternatives and areas of controversy and issues to be resolved. The Executive Summary will be presented in a tabular format. Introduction and Purpose This section will identify the purpose of the EIR and statutory authority under CEQA as well document-scoping procedures, summary of the E1R format, listing of responsible and trustee agencies and documentation incorporated by reference. Project ®escription RBF will update the project description based on NOP comments and the Draft Specific Plan. Environmental Analysis Each environmental section in the EIR will include sections for existing setting, thresholds of significance, an analysis of project-related impacts, and mitigation measures to avoid or reduce significant impacts. To fhe degree possible, thresholds will be based on the Cify of Dublin General Plan and the City of Dublin General Plan ElR as well as Appendix G of the State CEQA Guidelines. Each resource section of the EIR will include a summary of relevant City of Dublin General Plan policies that could avoid or reduce significant environmental impacts. RBF will ensure that thresholds of significance are acceptable to City staff before beginning the environmental analysis. December 20, 201 1 Pole S ~~& enNw~~b'r~H~ Dublin Crossings Specific Plan EIR Scope of Work Biological Resources The Dratt Environmental Impact Statement on Master P}anned Deve}opment at Camp Parks {U.S. Army 2006) and Fina} l;nvlronmenta} }mpact Statement on Master Planned Deve}opment at Camp Parks {U.S. Army 2009} contain background setting and an evaluation of impacts for biological resources within the project site. The project site is comprised primarily of non-native grassland, riparian forest and woodland, and wetlands. Specia{ status plant species that have potential to occur within the project site include Congdon's Tarplant, Northern California Black Walnut, Palmate-bracted Bird's Beak. Special Status Wildlife Species that have the potential to occur within the project site include: • }nvertebrates: Federally-listed Vernal Pool Shrimp and California Linderiella; • Amphibians: California Red-Legged Frog, California Tiger Salamander, and Western Pond Turtle; Birds: Cooper's Hawk, Swainson's Hawk, Ferruginous ,Hawk, Golden Eagle, Northern Harrier, White-Tailed Hawk, Prairie Falcon, Western Burrowing Owl, Loggerhead Shrike, and Tricolored Blackbird; • Mammals: Pallid Bat, and San Joaquin Kit Fox. The U.S. Army requested formal consultation with the U.S. Fish and Wildlife Service {USFWSj in June 2006 for the Camp Parks site. According to the biological assessment prepared by the U.S. Army, there are 329 acres of undeveloped kit fox, red-legged frog, and tiger salamander foraging and dispersal habitat. Of the 329 acres of habitat, 170,5 acres of direct effects and permanent loss of habitat were not evaluated in the biological opinion as a result of future development that may occur after the land exchange from the Army to the private sector. Therefore, this biological opinion only evaluates the permanent loss of 158.5 acres of habitat as well as the direct and indirect effects to 329 acres to kit fox and its habitat while in ownership of the U.S. Army and does not evaluate the loss of habitat within the project site. Consultation pursuant to Endangered Species Act, Section 7 or Section 10 with the U.S. Fish and Wildlife Service may be required prior to development of the project site because of the likely loss of habitat and potential for take of the tiger salamander, California red-legged frog, and San Joaquin kit fox. This scope of work assumes that the project applicant will engage Cardno Enti7x to prepare the biological resources technical report for the proposed project. RBF assumes that the biological technical report will identify sensitive habitats and the potential for these special status species known to occur or with potential to occur within the project site, as we[I as an evaluation of impacts and mitigation measures, which would reduce signi#icant impacts to a less than significant level. Cultural Resources The Draft Environmental lmpacf Statement on Master Planned Development at Camp Parks (U.S. Army 2006} and Fina! Environmental lmpacf Statement on Master Planned Development at Camp Parks (U.S. Army 2010) contains the environmental setting for cultural and historical resources within the project site. In addition, numerous archaeological and cultural resources studies have been conducted within the Camp Parks boundaries since 1981 and a Cultural Resources Overview was prepared in September 2001. These initial studies identified 30 separate cultural resources, 28 with prehistoric components. Twenty-two were recorded as archaeological sites (Sonoma State University, 2001). The State Historic Preservation Office dismissed 15 potential archaeological sites due to a lack of supporting evidence. Almost all buildings associated with the original development of the installation in the early 19~40s, and many structures constructed when the installation changed from Air Force to Army control in 1952, have been demolished. Two surveys for buildings eligible for the National Register of Historic Places (NRHP) have been conducted at the installation. Only one structure, the original Camp Parks front gate sign at the Dougherty Road entrance to the installation, is eligible (U.S. Army 2010). This scope of work assumes that the project applicant will engage Cardno Entrix to prepare an updated cultural resources technical report for the proposed project to evaluate the potential for archaeological and historic resources within the project site. RBF will review the project applicant's cultural resources report for technical accuracy and will utilize the report to analyze whether or not the proposed project would cause a substantial adverse change in the significance of archaeological and historical resources within the project site or whether or not the proposed project would disturb human remains, including those interred outside of formal cemeteries. Geoiogy and Soils This scope of work assumes that the project applicant will engage Berlogar to prepare a preliminary geotechnical report for the proposed project. RBF assumes that the geotechnical investigation will be complete and will evaluate the potential for exposure to earthquake faults, seismic ground shaking, seismic ground failure including liquefaction, and whether or not the proposed project would be located on a geologic unit or soil that is considered unstable. RBF will review the geotechnical report for completeness and will prepare the Geology and Soils section based on the analysis in the Draft Environmental Impact Statement on Master Planned Redevelopment at Camp Parks (U.S. Army 2006) and the findings of the December 20, 2011 Page 5 G~Nfi f-16TING p v Dublin Crossings Specific Plan PfR Scope of WorEc preliminary geotechnical report. The EIR will include an evaluation of the regional and specific geology and soils constraints within the project site (such as erosion hazards; compressible soils; active faults, including the adjacent Alquist Priolo fault zone; and areas subject to subsidence) and existing topography. RBF will discuss project impacts based on the geotechnical report including seismic hazards, landform modifications, and wind and/or slope water erosion to the extent feasible based on geotechnical investigation prepared by the project applicant. Mitigation measures will be included in the EIR to address any potentially significant impacts from geology and soils. Potential mitigation measures would include preparation of design-level geotechnical evaluations for subsequent development within the planning area. Hazards and Hazardous Materials The project site contains former and/or existing supply buildings and warehouses, infrastructure maintenance facilities, vehicle repair facili#ies, fueling points, hazardous waste accumulation sites, office and administrative buildings, buried construction debris deposition area, several railroad spurs, former lumber yards, and soil stockpiles. Environmental baseline studies were conducted by the U.S. Army in April 2002, October 2003, and November 2004, respectively. An update was conducted in October 2007 to provide additional detail regarding groundwater and soil sampling, risk assessments, and closures performed at the site since May 2006. A Final Environmental Condition of Property (ECP} report was prepared in January 2010. RBF understands that the major hazardous conditions of concern that exist within the project site include the following sites. Nine sites on the property where hazardous substances have been released were undergoing additional environmental investigation and/or undergoing remedial action in May 2006 and some have since achieved closure. Evaluation of these sites include: • Farmer 8uildinq 109. Contaminants of concern include lead, antimony, arsenic, copper, silver, and dioxins. A remedial investigation was conducted in June 2007 and the extent of buried ash and municipal waste were delinea#ed. A feasibility study was completed. • Former Buiidin i32. A health risk assessment (HRA} was prepared and no risk to human health or the environment was found. • Former Hazardous Waste Accumulation Site. The HRA determined that no risk to human health or the environment at the project site would occur. • Southeastern Quadrant. Contaminants of concern include total petroleum hydrocarbons as diesel range organics [TPH-DROj and chromium in the soil, mercury, vanadium, and lead in the groundwater. This site is currently undergoing groundwater modeling and a final data summary report was completed in December 2007. Benzo[ajpyrene was detected in the surface soils, but was not detected in groundwater samples collected in November 2006. Buildinc 734. Residual contamination from the oil drainage (TPH-DROj pit may remain along the associated piping that runs beneath the building and should be addressed during building demolition. The California Department of Toxic Substances and Control (DISC} and the California Water Quality Control Board (CRWQCB) agreed that the remedial actions were appropriate and properly completed and stated that no further action was recommended. • Buildin 761 Parks Reserve Forces Trainin Area Site 13. Groundwater sampling for TPH-DRO, lead, arsenic, fluorine, and phenanthrene was conducted in 2007 to 2008. e Buildin 791 Fuel Stora e Area. Contaminants detected include (TPH-DRO, etc.j, naphthalene and bis (2-ethylhexylj phthalate. Currently undergoing groundwater monitoring. A final data summary report was prepared in 2008, • Former Building 888 (BTEX, TPH-DRO, etc,). Contaminants of concern in groundwater include benzene, toluene, ehthylbenzene and xylene (BTi=X) and TRH-DRO. Currently undergoing groundwater monitoring. Remedial actions or an HRA may be required. • Asbestos. Some non_friable Asbestos Containing Material (ACM) may be present in the upper soil layers. Precaution measures are recommended during construction activities to ensure proper abatement. RBF will prepare the Hazards and Hazardous Materials section of the EIR based on a review of the Draft Environmental Impact Statement on Master Planned Redevelopment at Camp Parks (tJ.S. Army 2006), Final Environmental Impact Sta#ement on Master Planned Redevelopmen# at Camp Parks (U.S. Army 2409y; associated background documents (see Appendix A] prepared for the project site, including the ECP report prepared by the IJ.S. Army in 20]0. RBF will also utilize the existing Phase 1 and Phase 2 environmental site assessments completed for fhe project site and as provided by the project applicant. This scope of work assumes that these reports are current and relevant for CEQA purposes and -that no additional technical research or analysis will be required. RBF`s will review these reports for technical adequacy and completeness and utilize them as the basis for preparing the Hazards and Hazardous Materials section of the EIR. This scope of work assumes that the Army will be responsible for cleanup of all hazardous sites and that ail sites will be closed prior to property transfer. Public Services The public services section of the E1R will address impacts to law enforcement, fire protection, schools, solid waste, and parks and recreation. In addition to reviewing available municipal services documents, RBF will contact each of the affected public service providers (i.e., City of Dublin Fire Department, City of Dublin Police Department, Dublin Uni#ied School District, etc.) to obtain relevant baseline and regulatory information, and solicit input on potential impacts. Project-related demand for facilities and services will be estimated and compared against existing capacity and proposed future capacity associated with intensification of the planning area within the proposed Specific Plan area. This scope of work assumes that the City will engage a separate consultant to prepare a public facilities and financing plan for the proposed project. . Impacts will be based on whether any new public services or facilities would be needed and if construction of such facilities could generate significant impacts. Population and Housing This section of the 1=1R will discuss fhe existing population and housing conditions within the City of Dublin and the proposed project's consistency with the adopted regional or local projections from the Association of Bay Area Governments. The impact analysis will address how fhe proposed project will contribute to population growth in fhe Cify. The environmental impacts of the increased population and housing (e.g. air quality, noise, utilities, etc.} will be addressed in their respective technical sections in fhe EIR. Land Use and Planning Tile proposed project will require a General Plan Amendment (GPA), preparation of a Specific Plan, a Development Agreement and other changes to various Gity policies and plans may be deemed necessary. RBF will assess the consistency of fhe proposed project with adopted plans and policies aimed at reducing or eliminating environmental impacts, including consistency with the City of Dublin General Plan and City of Dublin Zoning Ordinance. Existing land uses in the immediate vicinity of the project site will be described based on site visits, aerial photographs, and other information that is evaluated as part of preparation of the proposed Specific Plan. Work water quality; permanent changes to stormwater drainage and/or flooding; project- related impacts to groundwater quantity and quality; and cumulative on-site and off- site hydrology and water quality impacts. Applicable federal, State, and local regulations for stormwater drainage, grading and erosion control, and other water quality protection procedures will be described, and where necessary, additional feasible mitigation measures will be identified. This section will be based in-part on discussions with City of Dublin Public Works Deparfinenf and Zone 7 staff regarding the local and regional drainage facilities and water supplies. This section will also address potential impacts to Dublin Ramon Services District (DSRSDj, who provide water services to the City of Dublin and adjacent areas. Off-site water quality effects associated with construction and long-term urban development will also be evaluated. Portions of the project site are located within fife Federal Emergency Management Agency (FEMAJ lOD-year fioodplain, which would be subject to fioodplain regulations, including the 100-year fioodplain of the unimproved Chabot Canal. This canal is currently undersized to convey the 1D0-year flows. future development within the project site would need to mitigate for the loss of the 100-year fioodplain and potential downstream impacts. Although existing buildings located within the 100-year fioodplain have not been damaged by previous flooding, there is the potential that additional flooding could occur with future development within the Specific Plan area. lone 7's StreamWlSE program implements the Stream Management Master Plan, which provides flood protection to the Livermore Amador Valley. Zone Ts StreamWlSE program also provides for increased flood protection by detaining flood water in former quarries (future Chain of Lakes) and releasing it slowly once storms pass. R8F understands that the StreamWlSE program is proposing upstream detention on the order of 60 acre feet to eliminate impacts downstream. Reimbursement for project components compatible with the StreamWlSE program may be available to the proposed project to mitigate for downstream impacts. To comply with the requirements of CEQA, the potential effects of the proposed project on flooding will be evaluated in the E1R. The project applicant's civil engineer, Ruggeri Jenson Azar (RJAj, will evaluate impacts to the 100-year fioodplain from build out of the proposed Specific Plan. This scope of work assumes that RJA, on behalf of the project applicant, will prepare a hydrology & Water Quality Technical Report. RBF's hydrology experts will review this document far technical adequacy and completeness and utilize this report as the basis for preparing the Hydrology & Water Quality section of the EIR. Impacts will be identified in the EIR and mitigation measures will be described to reduce any significant impacts to surface water and groundwater quality and hydrology resulting from the proposed project to a less than significant level. The visual resources section of the EIR will identify the visual characteristics of the project site and surrounding area. RBF will describe the existing aesthetic environment and visual resources, including a discussion of views within the project site and views from surrounding areas, particularly from the adjacent uses, utilizing pictures and information from a site reconnaissance of the project site and surrounding area and information from the proposed Specific Plan. RBF will also describe the regulatory framework relating to aesthetics and visual resources. RBF will discuss potential short-term and operational visual impacts that would result from the proposed project. The urban design features of the proposed Specific Plan will be evaluated with respect to its ability to enhance the visual quality of the adjacent areas and the visual experience of those visiting or residing in the vicinity of the proposed Specific Plan. If available, architectural renderings from the proposed Specific Plan will be included as exhibits in the 1=1R. These renderings will provide design elements that will aid in the analysis. The introduction of additional light and glare will also be addressed. Mitigation measures will be provided where necessary to reduce impacts associated with the proposed project. dtilities and Service Systems The utilities and service systems section of the EIR will address water supply, wastewater, electricity, natural gas, and communications. Project-related demand for facilities and services will be estimated and compared against existing capacity and proposed future capacity associated with the proposed project. Service demand will be evaluated for each utility and service. Potential impacts to the Dublin San Ramon Services District [DSRSD}, which provides water and wasfewater services to the City ofi Dublin as well as Zone 7, wil[ be addressed. Any impacts addressed in the EIR wi[I be based on whether any new facilities would be needed and if construction of such facilities could generate significant impacts. RBF's description of the proposed infrastructure systems and any impacts upon them or resulting from them will be based on the infrastructure section the Specific Plan. DRSD will require that the project applican# initiate a Public Facilities Planning Agreement required far Water and Wastewater Service Study that includes preparation of a Water Supply Assessment [WSA) per Senate Bill 610 and Senate Bil! 221 [to be prepared by DSRSD under a public facilities planning agreement with the Project Applicant}. The WSA includes an analysis of impacts of the project's demands on the DRSD's existing and planned potable water, recycled water, and sewer facilities; and recommendations of the sizing of water and wastewater facilities within the project site to ensure adequate service. f~ecember 20, 2011 Page 10 ~, F €~n*~q~~~Tl Nf3 n -. , Dublin Crossings Specific Plan EIR Scone of Work The District's 2010 Urban Water Management Plan {UWMPj, which satisfies SB S10 and SB 220 water supply assessment requirements, was recently determined to be complete by the State Dept. of Water Resources. This analysis included the anticipated development of the project site, based on current planning projections. Following completion of the Specific Plan, when land uses for the project site are better defined, DRSD will need to review UWMP for consistency and completeness. The District will also need to conduct a water service analysis to ensure that water facilities are sized and looped adequately to provide service to the development. RBF will work with DRSD {in coordination with city staff) and utilize their findings and technical analysis as the basis for preparing the water and wastewater facilities portions of the Utilities and Service Systems section of the EIR. If it is determined that off-site improvements needed to support the proposed project could create a potential environmental impact, a scope adjustment may be required. Transportation and Circulation In addition to the applicant utilizing their own traffic consultant, RBF understands that the City of Dublin will be coordinating with the project applicant and contracting directly (separate from this scope of work and budget) with a traffic consultant to prepare a traffic impact analysis for the proposed project. RBF also assumes that fihe traffic consultant will also prepare the transportation and circulation section of the ElR as a "drop-in" section with minimal formatting or editorial review required by RBF. Air Quality and Global Climate Change The project site is within the jurisdiction of the Bay Area Air Quality Management District {BAAQMD}. Climate Mefeorolo and Ambient Conditions. Baseline and project setting meteorological data developed by the California Air Resources Board {GARB) will be utilized for the description of existing ambient air quality. Air quality data from the local air quality monitoring station will be utilized to describe local air quality conditions. Other sources such as regulatory documents, professional publications, and RBF experience in the project area wlil also be utilized. Standards and Conditions. A summary of the relevant policies, rules, and regulations from the United States Environmental Protection Agency (EPA), GARB {i.e., California Clean Air Act, Air Quality Attainment Plans, etc.j, and the BAAQMD will be prepared. The analysis will follow the guidelines set forth in the BAAQMD's CEQA Air Qualify Guidelines (May 2011}. Construction-Related Emissions. Fugitive dust emissions from construction activities will be evaluated using CaIEEMod. The analysis will estimate equipment exhaust emissions utilizing the latest emission factors as prescribed by GARB and the EMFAC2007 and OFFROADS2007 models. Based upon trip generation data provided by fine City's traffic consultant, RBF will quantify mobile source emissions and provide a comparison to the BAAQMD thresholds of significance. The emissions will be quantitatively derived utilizing CalElrMod. An assessment of potential Community Risk and Health Hazards based on BAAQMD's guidance will also be prepared. Project consistency with regional air quality plans will be evaluated, including the 2010 Clean Air P}an [2010 CAP). Additionally, the analysis will evaluate whether the applicable land use and transportation control measures from the 2010 CAP have been included in the project design. The consistency analysis will determine if the project would cause or contribute to a violation of an ambient air quality standard. Carbon Monoxide Hotspot modeling will be conducted for any intersections where the LOS exceeds the BAAQMD's screening criteria. Globa} Climate Cha~e_. RBF will utilize the California Air Pollution Control Officers (CAPCOA) CEQA and C}imafe Change Wh}te Paper (White Paper) (January 2008) and CARB's Climate Change Proposed Scoping Plan (Scoping Plan) {October 2008) to provide background information on the effects of climate change. RBF will utilize the performance standards and thresholds identified in the BAAQMD's CEQA Air Qua}ity Guide}fines {May 2011 } to determine the significance of the project`s greenhouse gas (GHG} emissions. The Air Quality and Global Climate Change Report will be included in the EIR as part of the appendices. Noise This scope of work assumes that at present, RBF will conduct the noise measurements and prepare the noise analysis for this section. Should the applicant decide to have the noise analysis prepared by a separate consultant, the scope and budget will be modified accordingly. ~xistina Cond}bons. RBF will conduct a site visit along the project site and at adjacent land uses. During the site visit, RBF will conduct short-term noise level measurements along the project area. Noise monitoring equipment will consist of a Bruel & Kja~r model 2250 sound level meter (SLM) equipped with Bruel & Kjcer pre-polarized freefield microphone. The results of the noise measurements will be post_processed and graphically illustrated with the Bruel & Kjcer Noise 1=xplorer software. The noise monitoring survey will be conducted at up to five separate locations to establish baseline noise levels in the project area. Standards and Conditions. RBf will review applicable State and City noise and land use compatibility criteria for the project area. Noise standards will be discussed for land uses on and adjacent to the project sites. Construction noise impacts will be evaluated in terms of maximum levels ([.max) and hourly equivalent continuous noise levels (Leq) and the frequency of occurrence at adjacent sensitive locations. Analysis requirements will be based on the sensitivity of the area and the noise standards of the City. RBF will provide a discussion of off-site truck hauling, if required, for construction-related soil import or export, focusing on haul routes affecting sensitive receptors. Operational Noise. Potential effects of stationary noise sources will be evaluated based on the City's land use compatibility standards. Compliance with applicable noise standards will be evaluated, with recommended mitigation measures included where appropriate. The traffic modeling will take info account the entire development and will evaluate existing and forecasf conditions. Noise impacts from vehicular traffic will be assessed using the U.S. Federal Highway Traffic Noise Prediction Models jFHWA-RD- 77-108 and TNM 2.5). Measures to reduce exterior and interior noise exposure will be provided where necessary. Growth Inducement and Cumulative Impacts RBF wilt discuss potential growth-inducing impacts pursuant to CEQA Guidelines Section 15126.2, The analysis in this section will be based on data from the Association of Bay Area Governments (ABAGJ, California Deparfinent of Finance, and ll.S. Census data. Potential sources of growth inducement and their impacts, such as removal of obstacles to growth, will be analyzed qualitatively to the extent they are applicable. In accordance with Section 15130 of the CEQA Guidelines, this section provides a listing of cumulative projects and actions under consideration. RBF will consult with City staff to define the appropriate study area for the cumulative analysis (e.g. list of approved, pending or proposed development projects in the City or general plan buildout}. RBF will discuss cumulative impacts for each environmental issue area identified above, and will provide both quantitative and qualitative levels of analysis, Alternatives Pursuant to CEQA Guidelines Section 15125.6, RBF wii! provide an analysis of up to three (3} alternatives, including an analysis of the "No Project" Alternative. The ADEIR will include figures to enhance the written text and clarify the proposed project's environmental impacts. The entire document will be reviewed to ensure consistent references to terms, methodology of analysis, correct use of grammar, etc. The t51 Administrative Draft EIR will be sent to the City for internal review only by City staff and the City attorney. Prepare 2nd Administrative Draft EIR Following comments from the City, RBF will prepare a 2n~ Administrative Draft EIR. This document will be sent to both the City and the Applicant for review and comment. RBF will meet and/or coordinate with City staff to review written comments on the ~~a Administrative Draft EIR. Given the fact that RBF does not know the extent of comments that will be received by the Applicant, an effort estimate has been provided in the budget. Once all comments are received, RBF will review them and discuss, if necessary, any modifications to the budget estimate with City staff. This scope of work assumes that no additional technical analysis wilt be required for this task. Task 1.3: Public Review draft EIR RBF will respond to the City and Applicant review of the ADEIR and will prepare the Public Review Draft EIR. This subtask includes preparation of an electronic screencheck EIR prior to publication of the public review draft EIR. In addition, RBF will prepare the Notice of Completion (NOC} for submittal to the State Clearing House at the Office of Planning and Research (OPR). RBF will prepare the Notice of Availability (NOA) for delivery to the State Clearinghouse. RBF will work with the City to develop a distribution listing for the NOC and Public Review Draft E1R. The Administrative Final EIR will consist of comment letters, responses to comments, and Public Review Draft EIR errata pages indicating text changes in underlined text for additions and strikeout text for deletions, with notations for the relevant response to comment, The Administrative Final EIR will be sent to the City for internal review and comment. ®raft Mandatory Findings The City will prepare the Draft Statement of Facts and Findings, in accordance with the provisions of Sections 15091 and 15093 of the CEQA Guidelines and in a farm specified by the City. The project applicant will be providing a number of technical reports that will be used as supporting background information in the EIR. This scope of work assumes that these technical reports will be sufficient in their accuracy and comprehensive in their level of detail sufficient for preparing the CEQA analysis. RBI= Consulting, and our sub-consultants (where applicable}, will review the first draft of these documents. Should it be found that the information presented is not adequate (at the discretion of RBF and the City of Dublin), and that additional substantive revisions are required, RBF reserves the right to request additional compensation on a time and materials basis, per prior approval by the City of Dublin. This scope of work assumes that a contingency fund of 10% of the total budget will be provided by the applicant and could be used to fund all or part of this additional effort if necessary. 4. No new technical analysis or preparation of Technical reports will be required, other than those identified in this scope of work. 5. This scope of work assumes that Effect Found Not to be Significant will include: Agricultural Resources and Mineral Resources. 6. All products will be submitted to the City in electronic (PDFj format and source files, except for printed copies as identified in this scope of work. The applicant will also receive a copy of these pdfs and source files, with the exception of those documents identified for City internal review only. City staff will act as a clearinghouse for comments on all administrative draft documents and will provide RBF with a single, internally reconciled set of comments for each submitted draft document. 8. There will be a single round of review and revision to both the ls~ and 2nd Administrative Draft documents prior to the Screencheck Draft. if City staff feels that additional Administrative Draft documents are necessary, a contract amendment for additional work may be necessary, depending on the nature and circumstances associated with the additional changes (e.g. changes to the project description, additional technical analysis required, etc}. These changes can be characterized as being outside of the control or knowledge of RBF and would not be considered reasonable from the standpoint of professional standards of service and appropriate due diligence. 9. Revisions to the Screencheck Draft will focus on typographical errors, formatting issues, and other minor edits. Such revisions will not include content changes. 10. The City will develop the mailing Gst for distribution of the EIR and notices by RBF. The City will be responsible for newspaper costs of publication of notices, which wi11 be billed directly to the City, so they are not included in the proposed budget. 11. The budget is based on completion of work within an agreed upon schedule. If substantial delay occurs, an amendment of the budget will be warranted to accommodate additional project management time and other costs. Substantial delay is normally defined as 90 days or more. 12. Because the extent of public and agency comments received on the Draff EIR is unknown, the proposed budget includes a preliminary budget estimate of time to respond to comments. RBF will consult with City staff after the evaluation of the comments to determine if the preliminarily budget estimate is sufficient. 13.Once the proposed project description, baseline and alternatives are approved by the City for analysis in the EIR, if is assumed that they will not change significantly thereafter. If changes requiring revisions to the analysis of rewriting of the EIR information occur, an amendment of the budget may be required. 14. The CEQA statutes or guidelines may change during the course of this EIR, or legal decisions can alter the extent of the analysis needed, If amendments or decisions redoing work already performed or substantially increasing effort, a contract amendment may be warranted. 15, This project includes an allowance for printing as shown in the attached budget. City staff will be responsible for meeting logistics, including schedule coordination, public outreach, document production, printing notices, mailing costs, room reservations, room set-up and take-down, and refreshments. 17. The City will be responsible for identifying and communicating with all stakeholders including on-going scheduling and coordination and distribution of all materials. 18. City staff will coordinate/schedule City department meetings. 19.
