The City of Dublin and Livermore Amador Valley Transit Authority (LAVTA) entered into an agreement in November 2009 that defined the encroachment and maintenance responsibilities for both parties in operating and maintaining bus stops and bus shelters within the City of Dublin. The City Council will also consider approving an amendment to the agreement to add the proposed bus stop locations and to authorize the City Manager and Executive Director of LA VT A to make certain amendments to Exhibit A of the Agreement without City Council approval. FINANCIAL IMPACT: There is no financial impact to the City of Dublin associated with this item. Submitted By Reviewed By Director of Public Works Assistant City Manager Page 1 of 3 ITEM NO. 6.1 DESCRIPTION: The Livermore Amador Valley Transit Authority (LAVTA) was created in 1985 under a Joint Exercise of Powers Agreement between the Cities of Dublin, Livermore and Pleasanton. LAVTA has since been providing transit service across the Tri-Valley. LAVTA and City staff routinely work cooperatively on upcoming projects, day-to-day operations and proposed new bus stop locations. This report includes an Ordinance (Attachment 1) to designate two locations as bus stops intended to serve the Fallon Gateway shopping center and a Second Amendment to the Bus Shelter Encroachment and Maintenance Agreement for City Council consideration. Bus Stop Designations There are currently over 100 locations throughout the City that are used as active bus stops, which are indicated by either signs or curb markings and may include a bus pullout and amenities such as benches and shelters. According to Dublin Municipal Code Section 6.04.360, the City Council may establish bus stops by ordinance. Once established and marked accordingly, vehicles cannot stop, stand or park within the designated area. Most recently in 2010, bus stops were added to accommodate LAVTA's Bus Rapid Transit (RAPID) Project. With the opening of the new Target store in October 2011 at the Fallon Gateway shopping center, City and LAVTA staff have worked cooperatively to identify two new bus stop locations intended to serve the new shopping center. On both the north and south sides of Dublin Boulevard, a bus stop is recommended east of the intersection with the Fallon Gateway driveway. Because a sidewalk has not yet been installed along the Fallon Gateway frontage, the developer has constructed a temporary AC path along the south side of Dublin Boulevard to connect the bus stop location to the Fallon Gateway intersection. An on-site pathway then provides a connection to the new Target store. Because there also is no sidewalk on the undeveloped north side of Dublin Boulevard, LAVTA is funding the installation of a temporary AC path to connect the bus stop to the intersection. It should be noted that these stops may be relocated further west in the future to better provide bus service to the future Kaiser medical center. Should that project move forward, the City and LAVTA staff will work cooperatively throughout project development to identify the most appropriate stop locations. Encroachment and Maintenance Agreement Since its inception, LAVTA routinely provided maintenance services at the various bus stops throughout the City of Dublin, although no formal maintenance agreement was previously established. In anticipation of the construction of LAVTA's RAPID Project, which was to include the installation of various improvements and amenities, it became apparent that an encroachment and maintenance agreement should be established. At its November 17, 2009, City Council meeting, the City Council approved the Bus Shelter Encroachment and Maintenance Agreement ("Agreement" -Attachment 2) with LAVTA. An amendment ("First Amendment" -Attachment 3) was adopted by the City Council on August 20, 2010, to clarify maintenance responsibilities. The Agreement includes Exhibit A, which is a list of all bus stop locations for which LAVTA will perform routine upkeep, as well as specific amenities for which LAVTA is responsible to maintain. Page 2 of 3 While the list of amenities included in Exhibit A may be revised administratively according to the terms of the Agreement, the City Council must designate new bus stops by ordinance and must adopt an amendment to the agreement to add or remove bus stop locations within Exhibit A. The Resolution (Attachment 4) approves the Second Amendment to the Agreement (Attachment 5), which contains a revised Exhibit A (Attachment 6) with the two proposed bus stops on Dublin Boulevard added. While the existing Agreement already allows the City Manager to revise the specific amenities identified in Exhibit A at each bus stop, the proposed Resolution extends authority to the City Manager and Executive Director of LAVTA to add or remove bus stop locations listed on Exhibit A in so far as the City Council has first adopted an ordinance designating or removing said bus stop locations. NOTICING REQUIREMENTS/PUBLIC OUTREACH: No noticing required. A copy of the staff report has been provided to LAVTA. ATTACHMENTS: 1. The following locations shall be added to Section 6.44.010 of the City of Dublin Traffic Code: Dublin Boulevard North Side East of Fallon Gateway Shopping Center South Side East of Fallon Gateway Shopping Center Section 2. Severability. The provisions of this Ordinance are severable and if any provision, clause, sentence, word or part thereof is held illegal, invalid, unconstitutional, or inapplicable to any person or circumstances, such illegality, invalidity, unconstitutionality, or inapplicability shall not affect or impair any of the remaining provisions, clauses, sentences, sections, words or parts thereof of the ordinance or their applicability to other persons or circumstances. Section 3. Effective Date. This Ordinance shall take effect and be enforced thirty (30) days following its adoption, and after appropriate bus stop signage or markings have been placed providing notice thereof. Section 4. Posting. The City Clerk of the City of Dublin shall cause this Ordinance to be posted in at least three (3) public places in the City of Dublin in accordance with Section 36933 of the Government Code of the State of California. Recitals A. City owns and/or controls the right of way ("Right of Way") along City streets, alleys, sidewalks, and other public places in the City of Dublin. B. LAVTA operates public transit service within the City of Dublin. C. To enhance the public transportation system in the City of Dublin ("Project"), LAVTA has the need to place encroachments, such as bus shelters, real-time signs, garbage receptacles, route signs, other structures, and electrical conduits and related appurtenances to draw electricity-from street lights ("Project Facilities") in the Right of Way. D. The current locations of the existing Project Facilities in the City are shown in Exhibit A. The proposed locations of additional Project Facilities are shown in Exhibit B. City may issue LAVTA Encroachment Permits to construct and maintain additional Project Facilities in the Right of Way. Applications submitted to secure permits for the installation and maintenance of subsequent Project Facilities which are approved by the City shall be attached and incorporated to this Agreement as consecutive Exhibits C, D, E, F and so forth. E. The Project Facilities shall not interfere with the City's uses of the Right of Way. NOW, THEREFORE, in consideration of the faithful performance of the terms and conditions set forth. in this Agreement, the parties agree as follows: 1. ENCROACHMENT. a. Subject to this Agreement, City shall allow LAVTA to maintain the existing Project Facilities in the Right of Way as shown on the attached Exhibit A. b. Subject to this Agreement and City's approval of their respective Encroachment Permit Applications, City-shall allow LAVTA to install and maintain the proposed Project Facilities in the Right of Way as shown on the attached Exhibit B, as well as any Project Facilities identif ed in additional Exhibits to be attached hereto. c. Any installation or maintenance of Project Facilities shall be performed pursuant to an approved Encroachment Permit. Any installation or maintenance of Project Facilities inconsistent with the conditions or boundaries identified in the Encroachment Permit for said SUS SHELTER ENCROACHMENT AND MAINTENANCE AGREEMENT CITY OF DUBLIN AND LAVTA Page 1 of 6 19A0106.1 Project Facilities is prohibited. Notwithstanding the foregoing, any existing Project Facility identified in Exhibit A that does not have an Encroachment Permit may be maintained without obtaining an Encroachment Permit. Any expansion to add a bus stop sign, a garbage can, or a bench shall be permitted without obtaining an Encroachment Permit so long as the expansion does not cause the right of way to violate applicable disability access requirements. Expansions beyond a bus stop sign, garbage can, and bench shall require LAVTA to obtain an Encroachment Permit. d. No portion of Project Facilities shaIl affect the accessibility of the Right of Way or encroach on the minimum four-foot wide travel path for pedestrians required under federal and state law. e. City makes no representation or guaranty that its interest in the Right of Way is sufficient to accommodate the Project, and LAVTA shall be deemed to gain only those rights to use the Right of Way that the City has the undisputed right to give. f LAVTA acknowledges that granting of an Encroachment Permit for the installation of the Project Facilities in the Right of Way shall be made at the sole discretion of the City pursuant to its Encroachments Ordinance. Neither this Agreement nor anything done by LAVTA shall create a vested right of LAVTA to utilize the Right of Way or to extend or expand the existing Project Facilities or new Project Facilities installed subsequent to this agreement. 2. LAVTA'S RESPONSIBILITIES. a. LAVTA shall at its sole expense maintain the Project Facilities. b. LAVTA's maintenance responsibilities shall include, but are not limited to, the inspection, cleaning, maintenance, repair, and replacement of the Project Facilities and trash removal at the Project Facilities ("maintenance"). LAVTA shall exercise reasonable care in maintaining the Project Facilities and property affected by the Project Facilities. Maintenance shall be done as frequently as reasonably necessary to maintain the Project Facilities in a neat and attractive condition, provided that trash removal shall be done at least weekly. c. lf, within thirty (30) days after written notice has been sent to LAVTA, LAVTA fails, in the reasonable judgment of the Public Works director/Assistant City Engineer, to properly maintain the Project Facilities or maintain the Right of Way or any adjacent property which has been affected by the Project Facilities in as good a condition as they were in at the time of the construction of the Project Facilities, City may perform such maintenance at LAVTA's expense, and LAVTA shall pay City all expenses reasonably incurred in the performance ofthe work. d. LAVTA shall pay to City all charges incurred by City for electricity associated with the Project. e. LAVTA shall obtain from City an Encroachment Permit for future work in the Right of Way related to the Project, including, but not limited to, maintenance of the Project BUS SHELTER ENCROACHMENT AND MAINTENANCE AGREEMENT CITY OF DUBLIN AND LAVTA Page 2 of 6 194010b.1 Facilities that affects pedestrian or vehicular traffic. LAVTA and the City Public Works Director/ Assistant City Engineer shall work together to determine if a single Encroachment Permit can be used for routine work with standardized lane closures or other requirements. f. LAVTA shall ensure that City shall at all times have access to the Project Facilities for inspection and monitoring purposes. g. LAVTA shall ensure that all work or use done under the Encroachment Permit shall conform to the standards and specifications established by the City. In the absence of specific. standards and specifications, recognized standards of construction or approved practices shall govern the work or use. l~. LAVTA shall ensure that, unless otherwise approved by the Public Works Director/Assistant City Engineer, no material shall be stored within five feet of a public street.. In addition, excess earth materials from trenching or other operations shall be removed from the pavement, traveled way, or shoulder as the trench is backfilled or other work carried forward. 3. TERMINATION. This Agreement shall terminate if all the Project Facilities are removed, relocated, or abandoned. In addition, City may terminate this Agreement for any reason at the City's sole discretion by providing thirty (30) days' written notice to LAVTA. 4. MAINTENANCE, REMOVAL, RESTORATION AND REPAIR. a. Upon termination and notwithstanding Section 13.04.310 B of the Dublin Municipal Code, and as that Section may be amended or revised, LAVTA shall, at its sole expense, remove the Project Facilities from the area encompassed by any applicable encroachment permit ("the Encroachment Area"), and shall restore, to the City Engineer's reasonable satisfaction, the Encroachment Areas to as good a condition as they were in at the time of the construction of the Project Facilities. b. Except under emergency circumstances, in which the timeframe for the removal of the Project Facilities and the restoration of the Right of Way and any adjacent property shall be determined by the Public Works Director/Assistant City Engineer, LAVTA shall remove the Project Facilities and restore the Encroachment Area within sixty (60} days after written notice has been sent to LAVTA. c. If LAVTA fails to complete the removal of the Project Facilities or the restoration of the Right of Way within sixty (60} days after written notice has been sent to LAVTA, City may perform the necessary removal or restoration work at LAVTA's expense, and LAVTA shall pay City aII expenses reasonably incurred in the performance of the work. d. While the Project Facilities are in the Right of Way and within one year after the Project Facilities have been removed, LAVTA shall immediately repair and restore any damage to the Encroachment Area. If LAVTA fails to complete the repair or restoration within sixty {60) days after written notice has been sent to LAVTA, or should the exigencies of the injury or damage require repairs or replacement to be made before LAVTA can be notified or can respond BUS SHELTER ENCROACHMENT AND MAINTENANCE AGREEMENT CITY OF DUBLIN AND LAVTA Page 3 of b 1940106.1 to the notifications, City may make-the necessary repairs or replacement or perform the necessary work at LAVTA's expense, and LAVTA shall pay City all expenses reasonably incurred in the performance of the work. e. If any maintenance, repair, restoration, or replacement needs immediate correction as a result of a public safety or health hazard, as reasonably determined by the City Engineer, and such maintenance is not performed, or cannot be performed, by LAVTA within twenty-four (24) hours of receipt of notice thereof, which notice may be sent by facsimile, the City may perform or cause to be performed such maintenance at LAVTA's expense, and LAVTA shall pay City all expenses reasonably incurred in the performance of the work. f. City shall not be liable to LAVTA for any damage sustained by LAVTA in City's maintenance, removal, restoration, or repair of tl~e Project, any adjacent property which has been affected by the Project, or other improvements by LAVTA, except when such damage is caused by the negligent act or omission or intentional misconduct of City. Except for City's negligence or intentional misconduct, City's performance shall in no manner prejudice or impair any right of action for damages, or otherwise, that City may have against LAVTA. 5. NO INTERFERENCE WITH CITY'S OPERATION. a. The Project Facilities shall be constructed, installed, maintained, repaired and operated in such manner as to cause no interference with the constant, continuous and uninterrupted use of the Right of Way, and LAVTA shall do nothing to impair the safety thereof. LAVTA shall not interfere with any existing City utility or other City system without the written consent, of City. No City utility or other City system shall be moved to accommodate LAVTA without City approval and unless the cost of such work is solely borne by LAVTA. The expense of replacement or repairs of any damage to City utility or other City system resulting from LAVTA's acts or omissions shall be solely home by LAVTA. b. The City's costs to ensure that work by LAVTA in the Right of.Way will not affect the Right of Way, such as design review or inspection if applicable, shall be at the sole expense of LAVTA, unless otherwise determined by the City Engineer. c. Nothing in this Agreement shall affect the City's existing or future use of the Right of Way. 6. INDEMNIFICATION. LAVTA shall indemnify, defend and hold harmless City, its officers, employees, and agents against and from any and all claims or suits for damages or injury or fines arising from the LAVTA's use of the Right of Way or from LAVTA's breach or default of any obligation under this Agreement, excepting such claims or suits for damages or injury arising from the sole negligence or willful misconduct of City. This indemnification and hold harmless provisions shall survive termination of this Agreement. 7. INSURANCE. During the term of this Agreement, LAVTA and any LAVTA agent doing work in the Right of Way shall maintain in full force and effect at its own cost and expense the following insurance coverage: BUS SHELTER ENCROACHMENT AND MAINTENANCE AGREEMENT CITY OF DUBLIN AND LAVTA Page 4 of b 1940106.1 a. General Liability and Bodily Injury Insurance. A comprehensive, general liability insurance for at least $1,000,000 combined limit far bodily injury and property damage and provide that City, its officers, employees and agents are named additional insured under the policy. The policy shall state in writing either on the Certificate of Insurance or attached rider thereof that this insurance will operate as primary insurance far work performed under this Agreement, and that no other insurance effected by City or other named insured will be called on to cover a loss covered thereunder. b. Automobile Insurance. Automobile liability insurance in an amount not less than $1,000,000 perperson/per occurrence. c. Workers' Compensation Insurance. Workers' Compensation Insurance for all employees, all in strict compliance with State laws, and to protect City from any and all claims thereunder. d. Certificate of Insurance. The Certificate of Insurance shall provide in writing That the insurance afforded by this Certificate shall not be suspended, voided, canceled, reduced in coverage or in limits below those required in this Agreement without providing thirty (30) days prior written notice by certified mail, return receipt requested, has been given to City. In addition, the insured shall provide thirty (30) days prior written notice to City of any suspension, cancellation, reduction in coverage or in limits below those required in this Agreement, or voiding of the insurance coverage required by this Agreement. 8. NOTICES. NO ASSIGNMENT OF THIS AGREEMENT. This Agreement shall not be assigned or transferred without the prior written consent of the City. 10. TIME OF ESSENCE. Time is of the essence in the performance of this Agreement. No waiver by either party of the nonperformance or any breach of any term, provision, or condition of this Agreement, or any default under it shall be considered to be or operate as a waiver of any subsequent nonperformance, breach or default. 11. AMENDMENT. This Agreement may be amended or modified by the parties provided that said amendment or modification is in writing and approved by both parties. 12. ENTIRE AGREEMENT. Except as otherwise provided in the Encroachment Permit BUS SHELTER ENCROACHMENT AND MAINTENANCE AGREEMENT CITY OF DUBLIN AND LAVTA Page 5 of 6 1940106.1 and Conditions for Encroachment Permit attached to the Encroachment Permit, this Agreement contains the entire agreement between the parties. FIRST AMENDMENT TO BUS SHELTER ENCROACHMENT AND MAINTENANCE AGREEMENT This First Amendment to the Bus Shelter Encroachment and Maintenance Agreement, dated as of ~FD~', 13 2010 (the "Amendment") modifies and amends that certain "Shelter Encroachment and Maintenance Agreement," dated November 17, 2009 (the "Agreement"), between the City of Dublin, a municipal corporation ("City") and Livermore Amador Valley Transit Authority, a public entity ("LAVTA"). Capitalized terms used herein and not otherwise defined shall have the meanings ascribed to such terms in the Agreement. Recitals A. City owns and/or controls the right of way ("Right of Way") along City streets, alleys, sidewalks, and other public places in the City of Dublin. B. LAVTA operates public transit service within the City of Dublin. C. To enhance the public transportation system in the City of Dublin ("Project"), the City and LAVTA entered into the Agreement addressing the placement and maintenance of encroachments, such as bus shelters, real-time signs, garbage receptacles, route signs, other structures, and electrical conduits and related appurtenances to draw electricity from street lights ("Project Facilities") in'the City's Right of Way. D. The Parties desire, by this Amendment, to: replace the existing Exhibit A to the Agreement to add certain locations of existing Project Facilities that were not previously included in the Exhibit and to describe the particular amenities at those locations which are the subject of LAVTA's maintenance obligations under the Agreement; to clarify those maintenance obligations; and to permit the City Manager and LAVTA Executive Director to make certain amendments to Exhibit A relating to the amenities that are subject to LAVTA's maintenance obligations. NOW, THEREFORE, in consideration of the faithful performance of the terms and conditions set forth in this Amendment, the parties agree as follows: Section 1 Section 1(a) of the Agreement is hereby amended to read as follows in its entirety: a. Subject to this Agreement, City shall allow LAVTA to locate the Project Facilities in the Right of Way as shown on the attached Exhibit A. Section 2 Section 2(b) of the Agreement is hereby amended to read as follows in its entirety: FIRST AMENDMENT TO BUS SHELTER ENCROACHMENTAND MAINTENANCE AGREEMENT CITY OF DUBLIN AND LAVTA EXHIBIT To the Resolution b. With respect to each of the Project Facility locations listed in Exhibit A, LAVTA shall inspect, clean, and conduct trash removal ("routine upkeep") at said locations. With respect to any amenities listed in Exhibit A, LAVTA shall, in addition to conducting routine upkeep, also maintain, repair, and replace said amenities ("maintenance"). LAVTA shall exercise reasonable care in performing routine upkeep and in maintaining the Project Facilities and property affected by the Project Facilities. These services shall be performed as frequently as reasonably necessary to maintain the Project Facilities in a neat and attractive condition. Trash removal shall be done at least weekly. LAVTA shall have no obligation to conduct routine upkeep or maintenance on any amenities or Project Facility locations that are not listed in Exhibit A. Section 3 Section 2(c) of the Agreement is hereby amended to read as follows in its entirety: c. If LAVTA fails, in the reasonable judgment of the Public Works Director/Assistant City Engineer, to properly provide routine upkeep or to maintain the Project Facilities or the Right of Way or any adjacent property which has been affected by the Project Facilities in as good a condition as they were in at the time of the construction of the Project Facilities, City shall provide written notice to LAVTA of the problem. If, thirty (30) days after written notice has been sent to LAVTA, LAVTA fails to correct the problem, City may perform such routine upkeep or maintenance at LAVTA's expense, and LAVTA shall pay City all expenses reasonably incurred in the performance of the work. Section 4 Section 11 of the Agreement is hereby amended to read as follows in its entirety: 11. AMENDMENT. No part of this Agreement shall be altered or amended without written agreement and approval of the Parties, except that the list of amenities contained in Exhibit A this Agreement may be amended by mutual written agreement of the City Manager of Dublin and the Executive Director of LAVTA. Section 5 Exhibit A of the Agreement is hereby deleted and a new Exhibit A, attached hereto, is hereby inserted. Section 6 In the event of a conflict between the Agreement and this Amendment, this Amendment will control. Except to the extent inconsistent with this Amendment, the Parties ratify and confirm all of the terms and conditions of the Agreement. NOW, THEREFORE, the City Council of the City of Dublin does hereby approve the Second Amendment to Bus Shelter Encroachment and Maintenance Agreement between Livermore Amador Valley Transit Authority and the City of Dublin (the "Second Amendment"), attached hereto as Exhibit A. Capitalized terms used herein and not otherwise defined shall have the meanings ascribed to such terms in the Agreement. Recitals A. City owns and/or controls the right of way ("Right of Way") along City streets, alleys, sidewalks, and other public places in the City of Dublin. B. LAVTA operates public transit service within the City of Dublin. C. To enhance the public transportation system in the City of Dublin, the City and LAVTA entered into the Agreement and First Amendment addressing the placement and maintenance of encroachments, including bus stop amenities, in the City's Right of Way. D. The Parties desire by this Second Amendment to replace the Exhibit A to the Agreement to add two new bus stop locations that were not previously included in the Exhibit and to describe the particular amenities at those locations which are the subject of LAVTA's maintenance obligations under the Agreement, and to permit the City Manager and LAVTA Executive Director to make certain amendments to Exhibit A to modify the list of bus stop locations and associated amenities that are subject to LAVTA's maintenance obligations in so far as the locations have been adopted by ordinance by the Dublin City Council. NOW, THEREFORE, in consideration of the faithful performance of the terms and conditions set forth in this Second Amendment, the parties agree as follows: Section 1 Exhibit A of the Agreement is hereby deleted and a new Exhibit A, attached hereto as Exhibit 1, is hereby inserted. Section 2 Section 11 of the Agreement is hereby amended to read as follows in its entirety: 11. AMENDMENT.
