A RESOLUTION OF THE CITY COUNCIL
OF THE CITY OF DUBLIN
APPROVING THE AGREEMENT FOR PROGRAM SUPPORT WITH
I-GATE DEVELOPMENT CORPORATION
WHEREAS, the City of Dublin has been an active partner of i-GATE Development Corporation
since its inception in 2010; and
WHEREAS, as an active partner, the City has supported and advised the development of
programs, events and activities toward building the region's entrepreneurial environment; and
WHEREAS, the City and i-GATE desire to memorialize the continued partnership through
Agreement for Program Support; and
WHEREAS, in exchange for the $25,000 partnership contribution, i-GATE will provide support
and participation in Startup Incubation, Events and Programs, and Branding and Community
Engagement as outlined in the Agreement.
NOW THEREFORE, BE IT RESOLVED that the City Council of the City of Dublin does hereby
approve the Agreement for Program Support with i-GATE Development Corporation, attached hereto
as Exhibit A to this Resolution.
BE IT FURTHER RESOLVED that the City Manager is hereby authorized to execute the
Agreement and make any minor, non-substantive amendments to the Agreement that carry out the
intent of this Resolution.

Agreement for Program Support
Since i- GATE's inception in 2010, the Tri- Valley Cities of Dublin, Livermore and Pleasanton, and
the Town of Danville, along with Lawrence Livermore and Sandia National laboratories, have
been active partners in supporting and advising the development of programs and activities
toward building the region's entrepreneurial environment.
While each partner organization within the i -GATE governance framework offers a unique set of
assets requiring some specialization, all benefit from i- GATE's efforts to foster startup
companies and shape the innovation climate in the Tri - Valley.
This agreement is by and between the City of Dublin (City) and the i -GATE Development
Corporation (i -GATE) to define support and participation in i -GATE initiatives as identified
herein.
1. Activities. City and i -GATE agree to mutually beneficial participation in the following
activities:
Startup Incubation
i -GATE operates The Switch and Switch Labs, providing physical space and resources to
support early -stage startups, entrepreneurs and professionals as they start and build
businesses in the Tri - Valley.
i -GATE will:
Operate The Switch and Switch Labs in compliance with all local, state, and federal laws
Facilitate interaction between incubator companies and city economic development staff
Provide regular updates on key metrics related to startup incubation, such as the
number of member companies, capital raised, jobs created, and others as requested
City will:
• Promote its partnership with i -GATE and act as a source of referrals for the incubator
• Make staff available to help current and graduating companies identify and connect with
city resources
• Have representative(s) serve on the Board of Directors
Events and Programs
Events and programs are an effective way to build community and enhance connectivity
amongst entrepreneurs. The focus of i- GATE's events and programs is to facilitate shared
learning and network building opportunities for local entrepreneurs.
i -GATE will:
Design and execute events that are valuable and relevant to local entrepreneurs, with an
emphasis on important local industries
Coordinate with economic development staff to identify possible venues for hosting
events
Identify speakers and other resources to participate in the events
Conduct financial management of the events
City will:
• Work with i -GATE staff to identity focus areas for individual events programs
• Promote and solicit attendance to the events
• Identify speakers and other resources to participate in the events
Branding and Community Engagement
Branding the Tri- Valley as a significant hub of innovation and entrepreneurship is important to
attracting talent and companies to the region. i -GATE is uniquely positioned to play a leading
role in establishing this brand through data driven narratives and success stories.

Routinely collect and share data pertaining to the health of the Tri - Valley tech and
startup ecosystem
Work with economic development staff to craft relevant messaging
Operate the Startup Tri - Valley virtual community to facilitate network building
City will:
• Help distribute branding and marketing pieces developed by i -GATE
• Collaborate with i -GATE leadership to identify relevant themes for branding
• Promote the Startup Tri - Valley virtual community as a resource for aspiring
entrepreneurs and tech professionals in the region
2. Term. The term of this agreement shall be for one (1) year, commencing on July 1, 2018
and will remain in effect until June 30, 2019. This agreement shall be reviewed and
negotiated annually.
3. Fundin . i -GATE will request funding from the City via invoice for a fiscal year total of
$25,000.
The parties hereto have executed this agreement on the 1 ST day of July, 2018.
