FINANCIAL STATEMENT: This Agreement would obligate the City to pay
approximately $111 , 667 towards the local share of the
First Phase Improvements for the I-580/I-680
Interchange . Sufficient funds have been budgeted .
DESCRIPTION In June 1988, the City Council adopted Resolution 68-
88 agreeing in concept to participate financially in the construction of the
First Phase Improvements to the I-580/I-680 Interchange . The improvements
included in this First Phase of Improvements includes the widening of the
ramp connecting westbound I-580 traffic to northbound I-680 traffic . This
improvement would improve the freeway capacity as well as safety through the
interchange .
The total project cost is estimated at $2 , 054, 000. The Cities of Pleasanton
and Livermore have agreed to fund the same amount as the City of Dublin .
The County of Alameda has agreed to a maximum participation of $45 , 000.
The City during its review of the Fiscal Year 1988-89 Budget approved
sufficient funds to participate in this worthwhile project.
It is Staff ' s recommendation that the City Council review the agreement and
authorize the Mayor to execute said agreement .

of an agreement for dispensing City funds for design and
construction of Phase 1 of the 580/680 Interchange
project. This agreement implements City participation
authorized by Dublin's Resolution No. 68-88 .
If satisfactory, please sign and return four copies of
the agreement. A fully executed copy will be returned
for your files.
Similar agreements have been furnished the Cities of
Livermore and Pleasanton and the County of Alameda.

AGREEMENT
THIS AGREEMENT, entered into on ,
is between the CITY OF DUBLIN, referred to herein as "CITY" and
the ALAMEDA COUNTY TRANSPORTATION AUTHORITY, referred to herein
as "AUTHORITY" .
RECITALS
(1) The voters of Alameda County, pursuant to the provisions of
the Bay Area County Traffic and Transportation Funding Act,
Public Utilities Code Section 131100, et. seq. , approved Measure
B at the General Election held on November 4 , 1986, thereby
authorizing a sales tax increase to finance a major transporta-
tion improvement program within Alameda County and the AUTHORITY
was thereby created to administer that Program: .
(2) The Alameda County Transportation Expenditure Plan proposes
funding a portion of the 580/680 Interchange modification with
Measure B funds. The total estimated cost of this work is $54
million, of which at least $10 million (approximately 18 . 5%) is
to come from local sources. This project is eligible for funds
from the AUTHORITY in an amount not to exceed $44 million.
Because of sales tax projections which are lower than originally

estimated, the AUTHORITY has made a prorata reduction in the
amounts allocated to each project. The AUTHORITY has currently
allocated $38 million to this project.
(3) The SPONSOR for the 580/680 Interchange is the California
Department of Transportation (Caltrans) . SPONSOR intends to
proceed with the first phase of this work, which first phase is
hereinafter referred to as . "PROJECT", at an estimated design and
construction cost of $2 , 054, 000.
(4) The estimated local share of this first phase design and
design construction cost is $380, 000. CITY's participation in
this local share is estimated to be $111, 667. 00.
(5) CITY and AUTHORITY desire to specify herein the terms and
conditions under which the PROJECT is to be -financed through
design and construction. This Agreement will be followed by a
second agreement between the parties which will specify the terms
and conditions under which other portions of the I-580/680
modification will be designed and constructed.
(6) . The current status of the PROJECT is as follows: SPONSOR
has completed environmental studies and is proceeding with
design. AUTHORITY approved entering into an agreement with SPON-
SOR for design work at AUTHORITY's May 26, 1988 meeting.

SECTION I
CITY AGREES:
(1) CITY shall pay to AUTHORITY a sum not to exceed $111, 667.00
for the PROJECT. Adjustments to this amount based on actual
PROJECT costs will require .prior CITY approval.
(2) CITY shall dispense funds to AUTHORITY in advance and in a
timely manner, but in no event later than twenty-five (25) days
after the receipt of each billing statement from AUTHORITY.
(3) CITY agrees that it will cooperate with AUTHORITY in seeking
additional sources of funding for the PROJECT.
SECTION II
AUTHORITY AGREES:
(1) AUTHORITY will enter into all relevant contractual arrange-
ments for the work. AUTHORITY may arrange for performance of all
work by SPONSOR or may elect to contract for professional
services and physical construction.

(2) AUTHORITY will provide CITY with quarterly . reports on or
before the fifteenth day of each calendar quarter .(March 15, June
15, September 15 and December 15) . These reports ("Progress
Reports") shall describe the current status of the PROJECT and
Related Projects, actions and costs expended or incurred during
the previous three months,. actions expected to be taken and costs
projected to be expended during the next three months, any unex-
pected legal, environmental, engineering or construction dif-
ficulties with PROJECT, any projected changes and any additional
relevant information.
(3) AUTHORITY agrees to bill CITY quarterly in advance for its
pro-rata share of all costs for the PROJECT including but not
limited to billings received from SPONSOR.
SECTION III
IT IS MUTUALLY AGREED TO AS FOLLOWS:
(1) All obligations of AUTHORITY under the terms of this Agree-
ment are limited as provided in the Alameda County Transportation
Expenditure Plan dated August, 1986. In accordance with this
Expenditure Plan, total cost to the AUTHORITY for the entire
Interchange modification may not exceed $44 million and is

currently estimated to be limited to $38 million. - The AUTHORITY
reserves onto itself the right to increase or decrease this total
cost on a pro-rata basis with other projects in the Expenditure
Plan should actual revenues permit or require such adjustments.
All obligations of AUTHORITY under the terms of this Agreement
are subject to the availability of funds in the annual budget of
the AUTHORITY pursuant to Public Utilities Code Section 131265
and 131266.
(2) This Agreement shall terminate upon completion and accept-
ance of PROJECT constructed by SPONSOR or on March 31, 2002 ,
whichever is earlier in time.
