FINANCIAL STATEMENT: For Fiscal Year 1988-89, it is estimated that the cost
of assuming those services transferred by the District
to the City of Dublin will be approximately
$2,329,000. This will be offset by approximately
$2,140,900 in revenues that are attributable to the
transfer of the District, as well as a transfer of an
estimated $1.4 million in reserves from the District
to the City.
DESCRIPTION On July 15, 1987, the Cities of Dublin and San Ramon
and the Dublin San• Ramon Services District entered into a Memorandum of
Understanding for the purpose of transferring park and aquatic facilities to
the Cities, and fire and emergency medical services from the District to a
newly formed Fire Authority created by the Cities of Dublin and San Ramon.
During the last year, Staff from the 3 agelcies have worked towards
developing the necessary Agreements and other do=uments in order to provide
for the orderly transfer of not only the services from the District, but all
the associated assets and liabilities.
Attached to this Agenda Statement are a number of documents which will
facilitate that transfer. Below is a discussion of the pertinent points in
each of the attached documents:
1) Agreement conveying Personal Property from DSRSD to the City of Dublin
This Agreement will convey approximately 50% of the fire rolling stock and
personal property associated with that rolling stock from the District to
the City of Dublin. This Agreement also provides for the conveyance of
personal property which i;s included at the Valley Community Swim Center.
The exhibits listing each :_ndividual item of personal property are not meant
to be exact, but an example of those items which are normally included on
either the rolling stock or at the Swim Center. This personal property will
be transferred to the City in an "as is" condition on July 1, 1988, for the
total sum of $1.00.

2) Agreement between DSRSD and the City of Dublin for conveyance of Real
Property This Agreement will convey title to Fire Station No. 1, Shannon
Park, Mape Park, and the Dublin Sports Grounds along with all personal
property which are attached or are used in connection with that Real
Property, including but not limited to, those items of personal property
identified in Exhibits E and F of the Agreement, which describe personal
property at Fire Station No. 1 and Shannon Community Center. The Agreement
provides that the District will reserve easements for the water pump
station, water pipe line, and fire hydrant on the Shannon Park property.
The property will be transferred in an "as is" condition. The purchase
price of the properties will be $1 and the City will be responsible for all
escrow fees and recording fees as well as :itle insurance that are
associated with the transfer.
3) Agreement between the City of Dublin, City of San Ramon, and the Dublin
San Ramon Services District: regarding transfer :)f Fire and Park Services
This Agreement is more or less the Master Agreement which covers those items
which are not covered in the Personal Property, Real Property, and
Assignment Agreements. This Agreement provides that the District will cease
providing Park, Recreation and Aquatics Services within the territorial
limits of each City on July 1, 1988; and also :)rovides that the District
will cease providing Fire Protection and Suppression Emergency Medical
Services within the territorial limits of each City on either July 1, 1988
or the effective date of the PERS contract which appears to be July 1, 1988
at this time. This Agreement also provides that the District will transfer
90% of those funds identified in the MOU on or be'.:ore July 1, 1988, with the
balance to be kept until October 1, 1988 to pay ?Iny outstanding bills. The
Agreement also provides the Cities and District will agree to make such
adjustments as may be agreed upon on the transfer of these funds after the
transfer and conveyance has been reviewed by an independent auditor retained
by the Dougherty Regional Fire Authority. The Agreement•requires each City
to jointly and separately assume all the debts and liabilities of the
District arising out of the provision of the services to be transferred
within each City. This includes the amount of any judgment that might be
rendered against the District in the litigation entitled Dublin Professional
Firefighters, Local 1885 v. DSRSD. This Agreement basically provides that
the City will assume responsibility and indemnify the District for any
costs, losses, judgments, etc. against the District as a result of their
providing fire emergency medical, park and aquati,: services prior to July 1.
The Agreement also provides that the District will transfer its entire
Proposition 4 Appropriation Limitation to each City. Lastly, the Agreement
provides that personal property, primarily, that lsed for parks, recreation,
aquatics services which is not associated with any specific facility shall
remain with the District after July 1 for the pur' )ose of having the District
dispose of that equipment. A list of the items of personal property that
would be subjezt to that paragraph would be compiled by the three agencies
on July 1, 1988. The District has until October 1, 1988 to sell the
property at public auction to the highest bidder. The proceeds of the sale
less the District's expenses of storing and selling the property would be
divided equally between the City of San Ramon ani the City of Dublin. Any
items which are unsold would be divided equally between the Cities based on
the cost of acquisition of each item.
Also attached to the Staff Report is a resolution which would increase the
City's appropriation limitation on June 30, 1988 by $1,992,548.00.
It is Staff's recommendation that the City Council adopt both resolutions.

A RESOLUTION OF THE CITY COUNCIL
OF THE CITY OF DUBLIN
APPROVING AGREEMENTS WITH THE DUBLIN SAN RAMON SERVICES DISTRICT
AND THE CITY OF SAN RAMON REGARDING
FIRE AND PARK SERVICES
WHEREAS, on July 15, 1987, the City of Dublin, City of
San Ramon and Dublin San Ramon Services District adopted a
Memorandum of Understanding for the purpose of transferring Park
and Fire Services from the District to the two Cities; and
WHEREAS, in order to accomplish said transfer, the above
agencies have developed the following agreements:
1) Agreement between Dublin San Ramon Services District
and the City of Dublin for conveyance of personal property;
2) Agreement between Dublin San Ramon Services District
and the City of Dublin for conveyance of real property;
3) Agreement between the City of Dublin, City of San
Ramon and Dublin San Ramon Services District regarding transfer of
Fire and Park Services; and
WHEREAS, the City Manager has confirmed that said
agreements are in compliance with the intent of the July 15, 1987
Memorandum of Understanding.
NOW, THEREFORE, BE IT RESOLVED that the City Council of
the City of Dublin hereby approves said agreements and directs the
Mayor to execute said documents.

AGREEMENT BETWEEN THB DUBLIN SAN RAMON
SERVICES DISTRICT AND THE CITY OF DUBLIN
FOR G:ONVEYANCE OF PERSONAL PROPERTY
This Agreement is entered into by and between the
Dublin San Ramon Services District, a commrnity services district
("District") and the City of Dublin, a municipal corporation
("City").
RECITALS
1. District, City and the City of San Ramon have
entered into a "Memorandum of Understanding" dated July 15, 1987,
whereby District agreed to transfer certain property to City upon
the happening of certain events, which events have now occurred.
2. District owns the personal property described in
Exhibits A and B, attached hereto and incorporated herein.
3. District desires to convey the personal property
described in paragraph 2 above to the City to carry out the
agreement contained in the "Memorandum of Understanding."
NOW, THEREFORE, the parties hereto agree as follows:
1. Subject Property. The property to be conveyed by
this agreement consists of the personal property
described in Exhibits A and B, attached hereto.
2. Conveyance and Purchase Price. District shall
convey to City all right, t4.tle and interest to that
personal property described in Exhibits A and B
(herein referred to as "subject property"). In

consideration for the..conveyance to it by District
of the subject property, City shall pay District the
sum of one Dollar ($1.00).
3. Transfer of Title. District agrees to execute any
certificates of title or other documents necessary
to effectuate the transfer of the subject property
to City.
4. Date of Conveyance. The conveyance shall be
effective and the purchase price shall be paid on
July 1, 1988.
5. Risk all Loss. For insurance purposes, all risk of
loss due to damage to the subject property shall be
borne by District until title is conveyed. Any
insurance proceeds received by District for damage
to or loss of the subject property prior to July 1,
1988, will be transferred to the City when received,
whether- received before or a4ter July 1, 1988.
6. Condition of Property. It is agreed and understood
that the subject property is conveyed to City on
July 1,, 1988 in its "as is" condition on that date,
and District makes no representation or warranty,
express or implied, as to the condition of said
property other than as set fcrth herein.
7. Warranties. District agrees to execute any
documents necessary to transfer any warranties on
the subject property to City, as of the date of
conveyance.

AGREEME14T BETWEEN THE DUBLIN SAN RAMON
SERVICES DISTRICT AND THE CITY OF
DUBLIN FOR CONVEYANCE OF REAL PROPERTY
This Agreement is entered into by and between the Dublin San
Ramon Services District, a community services district
("District") and the City of Dublin, a municipal corporation
("City").
RECITALS
1. District, City and the City of San Ramon have entered
into a "Memorandum of Understanding" dated July 15, 1987, whereby
District agreed to transfer certain property to City upon the
happening of certain events, which events have now occurred.
2. District owns the following real property:
a) Fire Station #1 (described in Ex;iibit A, incorporated
herein);
b) Shannon Park (described in Exhibit B, incorporated
herein);
c) Mape Park (described in Exhibit C, incorporated
herein);
d) Dublin Sports Grounds (described in Exhibit D,
incorporated herein).
3. District desires to convey the property described in
Exhibits A, B, C and D to City to carry out the agreements
contained in the "Memorandum of Understanding".
NOW, THEREFORE, the parties hereto agree as follows:
1. Subject Property. The property to be conveyed by this
agreement ("subject property") consists of the real property
owned by District as described in Exhibits A, B, C and D,

together with all fixtures and articles of personal property
attached or appurtenant to or used in connection with the real
property, including, but not limited to, the property listed on
Exhibits E and F, attached hereto and incorporated herein.
2. Conveyance and Purchase Price. District shall convey
to City by quitclaim deeds all its right, title and interest to
that real property described in Exhibits F,, B, C and D (herein
referred to as "subject property"), together with the property
listed on Exhibits E and F; provided that District shall reserve
in the quitclaim deed for Shannon Park (Exhibit B) easements for
a pump station, water pipeline and fire hydrant. In
consideration for the conveyance to it by District of the subject
property, City shall pay District the sum of One Dollar ($1.00).
3. Escrow. City shall open an escrow with Transamerica
Title Company in Pleasanton. This agreement shall constitute
joint escrow instructions unless City or District provides the
title company with additional escrow instructions as may be
necessary, consistent with this agreement. The escrow agent is
empowered to act pursuant to this agreement.
District shall deposit quitclaim deeds to the subject
property, in the forms set forth in Exhibits A, B, C, and D into
escrow and City shall deposit the purchase price into escrow.
City shall also deposit into escrow a resolution authorizing
acceptance of the subject property. All escrow fees and
recording fees shall be borne by the City. City shall pay for
the policy of title insurance, if any is obtained.

4. Date of Conveyance. The escrow agent shall record the
deeds and pay to District the purchase price on July 1, 1988.
5. Risk of Loss. For insurance purposes, all risk of
loss due to damage to the subject property shall be borne by
District until title is conveyed. Any insurance proceeds
received by District for damage to the subject property prior to
July 1, 1988, will be transferred to the City when received,
whether received before or after July 1, 1988.
6. Condition of Property. It is agreed and understood
that the subject property, including any buildings on the
property, will be conveyed to City "as is", and District makes no
representation or warranty, express or implied as to the
condition of said property.
IN WITNESS WHEREOF, the parties hereto have authorized
execution of this agreement by their duly authorized officers.

Costa Counties, California, (hereinafter designated "Grantor") and the
City of Dublin, Alameda County, California (hereinafter designated
"Grantee").,
WITNESSETH:
The Grantor, for an in consideration of -:he perpetual use and
maintenance of the hereinafter described premises by the Grantee as and
for public park and public recreation area purposes does hereby remise,
release and forever quitclaim unto the Grantee, and to its successors
and assigns, that certain real property situated in the City of Dublin,
County of .Alameda, State of California, described in Exhibit "A" which
is attached hereto and incorporated herein by reference.
TO HAVE AND TO HOLD said real property, subject to the reservations,
exceptions, restrictions, conditions and covenants herein expressed
and set forth unto the Grantee, its successors and assigns, forever.
IT IS AGREED AND UNDERSTOOD by and between the Grantor and Grantee, and
the Grantee by its acceptance of this deed, c.oes acknowledge its
understanding of the agreement, and does covE,nant and agree for itself,
and its successors and assigns, forever, as follows:

1. Said property shall be forever and continuously used and
maintained as and for a public park and public recreational area and
for these purposes only, in accordance with thE- Application for Federal
Surplus Property for Public Park or Recreational Purposes, submitted by
the Grantor on December 17, 1970, and amended on December 30, 1970,
copies of which are on file at the Western Regional office of the
National Park Service, Department of the Interior, in San Francisco,
California, and in the offices of the Grantor in Alameda County,
California. The program of utilization and pl<<n contained in said
application may be further amended from time to time at the request of
either the Grantee or the Secretary of the Interior, with the written
concurrence of the other party, and such amendments will be added to
and become a part of the original application.
2. From the date of this conveyance, the Grantee, its successors
and assigns, shall file biennial reports with the Secretary of the
Interior, in care of the Western Region, National Park Service at
450 Golden Gate Avenue, Box 36063, San Francisco, California, setting
forth the use of the property during the preceding two-year period, and
other pertinent data establishing its continuous use of the premises
for the purposes set forth above.
3. The property shall not be sold, leased, assigned, or
otherwise disposed of except to another eligib:.e governmental agency
that the Secretary of the Interior agrees in writing can assure the
continued use and maintenance of the property for public park and
public recreational purposes subject to the same terms and conditions
in the original instrument of conveyance. However, nothing in this
provision shall preclude the Grantee from providing related
recreational facilities and services compatible with the approved
application, through concession agreements entered into with third
parties, provided prior concurrence to such agr=eement is obtained in
writing from the Secretary of the Interior.
4. As part of the consideration for this Deed, the Grantee
covenants and agrees for itself, its successors and assigns, that:
(1) the program for or in connection with whicli this Deed is made will
be conducted in compliance with, and the Grantee, its successors and
assigns, will comply with all requirements imposed by or pursuant to
the regulations of the Department of the Interior as in effect on the
date of this Deed (43 C.F.R. Part 17) issued under the provisions of
Title VI of the Civil Rights Act of 1964; (2) this covenant shall be
subject in all respects to the provisions of said regulations; (3) the
Grantee, its successors and assigns, will prom;otly take and continue to
take such action as may be necessary to effect.iate this covenant;
(4) the United States shall have the right to seek judicial enforcement
of this covenant; (5) the Grantee, its successors and assigns, will
(a) obtain from each other person (any legal entity) who, through
contractual or other arrangements with the Grantee, its successors or
assigns, is authorized to provide services or oenefits under said
program, a written agreement pursuant to which such other person shall
with respect to the services or benefits which he is authorized to
provide, undertake for himself the same obligations as those imposed
upon the Grantee, its successors and assigns, by this covenant, and
(b) furnish a copy of such agreement to the Secretary of the Interior,
or his successor; (6) this covenant shall run with the land hereby
conveyed, and shall in any event, without regard to technical
classification or designation, legal or otherwise, be binding to the
fullest extent permitted by law and equity for the benefit of and in
favor of the United States of America and enforceable by the United

States of America against: the Grantee, its successors and assigns; and
(7) the United State of America expressly reserve a right of access to,
and entrance upon, the above described property in order to determine
compliance with the terms of this conveyance.
5. If at any time the President of the United States of America,
or the Congress thereof, shall determine that the premises herein
conveyed, or any part thereof, are needed for the national defense, all
right, title and interest in and to said premises, or part thereof
determined to be necessary to said national deitense, shall revert to
and become the property of the United State of America.
6. The Grantee further agrees to comply with the requirements of
Public Law 90-480 (82 Stat. 718) the Architectural Barriers Act of 1968
as amended by Public Law 91-205 of 1970 (84 Stat. 49) to assure that
facilities developed on this property are accessible to the physically
handicapped; and, further assure in accordance with Public Law 93-112,
the Rehabilitation Act of 1973 (87 Stat. 394) that no otherwise
qualified handicapped individual shall solely by reasons of his
handicap be excluded from the participation in, be denied benefits of,
or be subjected to discrimination under any program or activity in
effect on this property.
7. In the event there is a breach of any of the conditions and
covenants herein contained by the Grantee, its successors and assigns,
whether caused by the 1E!gal or other inability of the Grantee, its
successors and assigns, to perform said conditions and covenants, or
otherwise, all right, title and interest in and to the said premises
shall revert to and become the property of the United States of America
at its option which in addition to all other remedies for such breach
shall have the right of entry upon said premises, and the Grantee, its
successors and assigns, shall forfeit all right, title and interest in
said premises and in any and all of the tenemE!nts, hereditaments and
appurtenances thereunto belonging; provided, however, that the failure
of the Secretary of the Department of the Interior to require in any
one or more instances complete performance of any of the conditions or
covenants shall not be construed as a waiver or relinquishment of such
future performance, but the obligation of the Grantee, its successors
and assigns, with respect to such performance shall continue in full
force and effect.
8. In the event of reversion of title :o the United States of
America, the Grantee shall be required to provide protection and
maintenance for the property until such time as the title reverts to
the United States including the period of any notice of intent to
revert.

AGREEMENT BETWEEN THE CITY OF DUBLIN,
CITY OF SAN RAMON AND THE DUBLIN SA9 RAMON SERVICES
DISTRICT REGARDING TRANSFER OF FIRE AND PARK SERVICES
WHEREAS, the City of Dublin, City of San Ramon ("Cities")
and the Dublin San Ramon Services District ("District") are
parties to a Memorandum of Understanding Regarding Transfer of
Service Responsibility among City of Dublin, Dublin San Ramon
Services District and City of San Ramon, dated July 15, 1987
("MOU"), and
WHEREAS, the MOU provides that the Cities and District shall
enter into such agreements as are necessary to carry out the MOU;
and
WHEREAS, the City of Dublin and the City of San Ramon have
entered into a "Joint Exercise of Powers Agreement/Dougherty
Regional Fire Authority" ("JPA"), whereby the Dougherty Regional
Fire Authority, a separate legal entity, has been created to
provide fire protection and suppression and emergency medical
services in the area formerly covered by District; and
WHEREAS, each City and District have entered into agreements
transferring certain real and personal property from District to
each City; and
WHEREAS, District will cease providing park, recreation and
aquatics services within the territorial limits of each City on
July 1, 1988; and
WHEREAS, District will cease providing fire protection and
suppression and emergency medical services within the territorial

limits of each City on the date set forth in Section 2.4 of the
JPA; and
WHEREAS, certain other matters requii:e agreement between the
Cities and District to carry out the term!; of the MOU;
NOW, THEREFORE, the City of Dublin, the City of San Ramon
and District agree ,as follows:
I. The foregoing recitals shall be a part of this
agreement.
2. District shall transfer 90% of the funds required by
Section 3(a) of the MOU on or before July 1, 1988. District
shall convey the balance of all unexpended general fund revenues,
trust and reserve funds to each City no later than October 1,
1988.
3,. The transfer and conveyance set forth in paragraph 2
shall be reviewed by an independent Auditor retained by the
Dougherty Regional Fire Authority on behalf of the Cities of
Dublin and San Ramon. Cities and District agree to make such
adjustments as may be agreed upon tc comply with the MOU
following receipt of the Auditor's report.
4,. Pursuant to Section 7 of the MOU, each City jointly
and severally assumes all debts and liabilities of District
arising from District's provision of fire protection and
suppression, emergency medical, park, tecreation and aquatics
services within the! City of Dublin and that area of the City of
San Ramon within District's jurisdiction, including but not
limited to (1) workers compensation liability for District's

current fire service employees and former fire service, park,
recreation and aquatics employees, to the extent of injury or
illness attributable: to service in fire, emergency medical, park,
recreation and/or aquatics functions, and (2) the amount of any
judgment that might be rendered against District in the
litigation described in paragraph 5 herecf. Cities' assumption
of such debts and liabilities shall coincide with Cities'
assumption of such services. Cities jointly and severally shall
defend, indemnify and save harmless District, its Board of
Directors, officers, agents and employees against and from any
and all. claims, demands, loss, judgments or liabilities, whether
asserted or unasserted on the date of assumption of such
services, including attorneys' fees and costs of suit, of any
kind or nature (excluding those arising solely from the willful
misconduct of District, its officers, agents and employees) which
District, its officers, agents and employees may sustain or
incur, or which may be imposed upon them, or any of them, arising
out of the transfer of real property, personal property or
services pursuant to the MOU. The parties agree that this
paragraph 4 shall be deemed to be incorporated in each of the
several agreements entered by District with each City in
implementation of the MOU.
5. A lawsuit entitled Dublin ProAfessional Fire Fighters
Local 1885 v. Dublin San Ramon Services District, et al., Action
No. A037497, is currently pending in the Court of Appeal, First
Appellate District, against the District. Cities agree that

District's attorneys shall continue to represent District in said
action following the operational date set forth in Section 2.4 of
the JPA and Cities shall reimburse District for its costs
incurred in providing such representation.
6. District by resolution shall a,:)prove the transfer to
the City of Dublin and the City of San Ramon District's
appropriation limitation under "Proposition 4" in the amount of
$1,992,548.00 and $1,697,355.00, respectively, which transfer
shall be effective on June 30, 1988.
7. Title to and possession of certain personal property
now held by District and used by it in the performance of its
park, recreation and aquatics services, shall remain with
District after July 1, 1988, for the sole purpose of disposing of
it in accordance with this paragraph. A. list of the items of
personal property that is subject to this paragraph shall be
compiled by the parties on or about July 1, 1988. Cities shall
jointly and severally bear the risk of logs with respect to such
property after July 1, 1988. As soon as practicable, but no
later than October 1, 1988, District shall sell such property at
public auction to the highest bidder. The proceeds of such sale
less District's expenses of storing and selling the property
shall be divided equally between each City; provided, however,
that if any items o property remain unsold, such items shall be
divided between the Cites as nearly equally as practicable,
based on the cost of acquisition of eazh item as carried on
District's records, and the proceeds of the sale shall be

adjusted so that each City receives an equal amount in cash and
property. Cities shall jointly and severally defend, indemnify
and hold District harmless against and from any claims or losses
on account of District's actions-on behalf of Cities pursuant to
this paragraph.
8. Upon the transfer by District to Cities of the fire
protection and suppression, emergency medical, park, recreation
and aquatics services, District thereby shall be deemed to have
divested itself of, and to have relinquished any claim or right
to provide, or responsibility for providing any such services.

RESOLUTION NO. 88 -
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF DUBLIN
INCREASING THE CITY'S APPROPRIATIONS LIMITATION
WHEREAS, the Dublin San Ramon Services District, the City of
Dublin and the City of San Ramon on July 15, 1987 entered into a
Memorandum of Understanding whereby the fiscal responsibility for
providing park and recreation and fire prevention and suppression
services within their respective municipal boundaries was
transferred, effective July 1, 1988, by the Dublin San Ramon
Services District to said Cities; and
WHEREAS, Article 13B, Section 3a of the Constitution of the
State of California provides that when the fiscal responsibility
for providing a service is transferred frcm one governmental
agency to another governmental agency, the appropriations limit of
the transferee entity shall be increased ty such reasonable amount
as the said entities shall mutually agree and the appropriations
limit of the transfE?ror entity shall be decreased by the same
amount; and
WHEREAS, taking into consideration tre transfer of fiscal
responsibility for the provision of park and recreation and fire
prevention and suppression services, the Dublin San Ramon Services
District and the City of Dublin mutually agreed that $1,992,548
would be a reasonable amount for (1) the appropriations limitation
of the City of Dublin to be increased and (2) the appropriations
limitation of the Dublin San Ramon Services District to be reduced.
NOW THEREFORE BE IT RESOLVED, by the City Council that the
appropriations limitation of the City be increased in the amount
of $1,992,548, effective June 30, 1988, said amount being the
amount mutually agreed upon by the Dublin San Ramon Services
District and the City of Dublin for the District's appropriations
limitation to be reduced and the City's appropriation limitation
to be increased as a result of the transfer of the fiscal
responsibility for providing park and recreation and fire
prevention and suppression services within the municipal
boundaries of the City.

MEMORANDUM OF UNDERSTAITD'ING
Regarding Transfer of Service Responsibility
among
CITY OF DUBLIN, DUBLIN SAN RAMON SERVICES DISTRICT
and
CITY OF SAN RAMON
This Memorandum of Understanding, dated , 1987
is entered into between the Dublin San Ramon Services District
("DISTRICT"), the City of Dublin and the City of San Ramon
("CITIES"). The parties mutually agree as follows:
1. The effective dates herein are expressed in the form of
occurrences rather than calendar dates and are defined as fol-
lows:
a. "Effective Date All is the date this Memorandum of
Understanding is approved by the DISTRICT and the
CITIES. If the Memorandum of Understanding is not
executed by the parties on the same date, it shall
be the! date of the last execution.
b. "Effective Date B" is the date approval is given
by thEi Board of Supervisors of both the counties
of Alameda and Contra Costa for the transfer of
all property taxes collected. and to be collected
on behalf of the DISTRICT tc the respective

CITIES. If such approvals a27e not granted on the
same date, the date of the second approval shall
be considered as Effective Date B.
C. "Effective Date C" shall be the date that the
Joint :Exercise of Powers Agency (FIRE JPA) for
fire protection and suppression within the area
currently served by the DISTRICT assumes opera-
tional responsibility. This date shall be set
forth in the Joint Exercise of Powers Agreement
and the CITIES shall consult with DISTRICT with
respect to establishment of this date.
2. on Effective Date A, or as soon thereafter as possible:
a. Each CITY shall adopt a resolution agreeing to
provide park and recreation and fire protection
and suppression services when the DISTRICT ceases
to provide such services and shall forward a copy
of said resolutions to the Boards of Supervisors
of the County of Alameda and the County of Contra
Costa.
b. The DISTRICT shall adopt a resolution notifying
the Board of Supervisors of Alameda and Contra
Costa Counties of the DISTRICT's intention to
transfer park and recreation and fire protection
and suppression services to the.CITIES, and re-
questing the respective Boards of Supervisors to
negotiate the transfer of all future property tax

entitlements of the DISTRICT to the respective
CITIES.
3. On Effective Date B, or as soon thereafter as possible:
a. the DISTRICT shall transfer to the CITIES, all
general fund revenues, trust and reserve funds
less those amounts retained ;oy the DISTRICT to
satisfy fire budget and appropriate administra-
tive/legislative requirements during the period
between Effective Date B and Effective Date C in
the fcllowing manner:
(1). All Altamont fees to the City of Dublin;
(2). All park dedication fees to the City from
which they were generated;
(3). All other funds, fees, trust funds and
General Fund Reserves on hand to the CITIES equal-
ly.
(4). All funds, other than those relating to the
water and sewer services, received by the DISTRICT
after Effective Date B, shall be transferred upon
receipt to the City from which such funds were
generated.
(5). As used in this subsection 3a, General Fund
revenues shall not include inter-fund transfers of
either- enterprise or expansion funds except the
Fire capital Improvement Fund. General Fund
reserves shall not include restricted reserve

inter-fund utility expansion transfers. All
inter-fund expansion monies potentially generated
in the 1987-88 fiscal year a.ad thereafter shall
remain with the appropriate :DISTRICT utility fund,
except such money as may be necessary to eliminate
General Fund deficits until Effective Date C.
b. The DISTRICT shall transfer title to all park,
recreation and aquatics facilities, including
land, buildings, rolling stock, equipment, furni-
ture and other property customarily and exclusive-
ly used by the DISTRICT in the operation of the
facility to be transferred, to the City in which
said facility is located.
C. The DISTRICT shall transfer title to all other
personal property used at park and aquatics facil-
ities to each CITY equally, based on current
market: value.
d. Each CITY shall assume total. responsibility for
those parks, recreation and aquatics facilities
and programs within each City's respective bound-
aries, presently performed by the DISTRICT at such
facil:Lties and the DISTRICT shall thereafter
divest itself of all such responsibility.
4. On Effective Date C, or as soon thereafter as possible:
a. The DISTRICT shall transfer title to Fire Station
No. 1; located at 7495 Donohue Drive, in the City

of Dublin, and any rolling s-:ock, equipment,
furniture, or other property customarily located
at and used exclusively by the DISTRICT in con-
junction with its operation cif. Fire Station No. 1,
to the City of Dublin.
b. The DISTRICT shall transfer title to Fire Station
No. 2 and the Fire Administration Building located
at 93913 Fircrest Drive in the City of San Ramon,
and any rolling stock, equipment, furniture or
other property customarily located at and used
exclusively by the DISTRICT in conjunction with
the operation of Fire Station No. 2 or in the Fire
Administration Building to the City of San Ramon.
C. The DISTRICT shall transfer title to all other
personal property used for fire protection and
suppression to each CITY equally, based on current
market value.
d. The DISTRICT shall convey to the CITIES, equally,
all remaining unexpended general fund revenues,
trust and reserve funds retained by the DISTRICT
to satisfy fire budget and appropriate administra-
tive/legislative requirements during the period
between. Effective Date B and Effective Date C as
per subsection 3a, above.
e. Each CITY shall convey the assets described in
subsections 4a, 4b, 4c and 4d to the FIRE JPA in

the manner and under such terms as are set forth
in the Joint Exercise of Powers Agreement.
f. The FIRE JPA shall become opE:rational and shall
assume the responsibility for-the fire protection
and suppression services within the territorial
limits of the CITIES and the DISTRICT shall divest
and relinquish any claim, right or responsibility
for providing such fire protection and suppression
services.
5. The parties agree that the DISTRICT owned buildings,
equipment and grounds located at 7051 Dublin Boulevard, in the
City of Dublin, are not subject to the prov'_sions of this Agree-
ment and shall not be included in the transfer of assets to the
CITIES.
6. The CITIES and the FIRE JPA, as the case may be, shall
be bound by and agree to honor all existing contracts between the
DISTRICT with Public Employees Retirement System (PERS) and any
labor organizations and shall meet and confer with such labor
organizations as required under the Meyers-Milias-Brown Act of
the State of California.
7. All debts and liabilities pertaining to fire protection
and suppression and park, recreation and aquatics of the DISTRICT
shall be assumed by the respective CITIES a": the same time as the
assumption of the concurrent right or responsibility.
8. The DISTRICT shall continue to administer the debt ser-
vice related to the DISTRICT's current park bond indebtedness.

9. DISTRICT shall transfer all of its "Proposition 4"
appropriation limitation to the CITIES as calculated by the
DISTRICT as of Effective Date C.
10. Nothing in this Agreement will preclude either CITY from
assuming maintenance responsibility of DISTRICT park, recreation
and aquatics facilities within such CITY prior to implementation
of any actions contemplated by this Agreement. If either CITY
assumes such interim maintenance responsibility of DISTRICT park,
recreation and/or aquatics facility within such City, the amount
of monies budgeted by the DISTRICT for maintenance and operation
of the park, recreation and aquatics facilities in such CITY may
be transferred by the DISTRICT to such CITY, subject to the prior
written approval of the other CITY.
11. The CITIES and DISTRICT agree to nEagotiate in good faith
to enter into such agreements made necessary by this Agreement
and to exercise due diligence in carrying out their respective
obligations hereunder.
12. In the event of any judgment by a court of competent
jurisdiction restraining or preventing either CITY or DISTRICT
from undertaking any actions hereunder, this Agreement shall be
voidable by the party or parties to the suit.
