HomeMy WebLinkAboutItem 5.4 First Amendment to the City Manager’s Employment Agreement Agenda Item 5.4 STAFF REPORT CITY COUNCIL Page 1 of 2 DATE: September 15, 2026 TO: Honorable Mayor and City Councilmembers FROM: Agency Negotiating Team (Mayor Hu and Vice Mayor Josey) SUBJECT: First Amendment to the City Manager’s Employment Agreement Prepared by: Sarah Monnastes, Human Resources Director/Risk Manager EXECUTIVE SUMMARY: The City Council will consider approving a First Amendment to the Employment Agreement with City Manager Colleen Tribby following completion of her 2026 Annual Performance Evaluation and subsequent discussions regarding the terms and conditions of her employment. The proposed amendment increases the City Manager’s base salary by 6%, effective June 1, 2026, and establishes Annual Perf ormance Pay of $10,000 per year, subject to the performance provisions set forth in the Agreement. STAFF RECOMMENDATION: Approve the First Amendment to the Employment Agreement Between the City of Dublin and Colleen Tribby for Employment as City Manager and authorize the Mayor to execute it. FINANCIAL IMPACT: The proposed 6% base salary increase, and $10,000 Annual Performance Pay, result in an additional annual cost of $31,366.96. Sufficient funding is available in the Fiscal Year 2026-27 Budget to cover these costs. No budget adjustment is necessary. DESCRIPTION: On March 3, 2026, the City Council appointed an Agency Negotiating Team consisting of Mayor Hu and Vice Mayor Josey to meet with the City Manager regarding the terms and conditions of her employment. Following completion of the City Manager’s 2026 Annual Performance Evaluation, the Agency Negotiating Team met with the City Manager and subsequently consulted with the City Council in closed session. 32 Page 2 of 2 As a result of those discussions, the Agency Negotiating Team recommends that the City Council approve the First Amendment to the City Manager’s Employment Agreement (Attachment 1). The proposed amendment increases the City Manager’s base salary by 6% to $31,456.77 per month, effective June 1, 2026. The amendment also establishes Annual Performance Pay of $10,000 . The City Manager will be eligible to receive the payment following each annual performance evaluation provided the City Council determines that she sufficiently met the goals and performance objectives established for the applicable evaluation period. Th e City Council determined that the City Manager met the applicable performance standard for the 2026 evaluation period; therefore, the initial $10,000 Annual Performance Pay will be paid within 30 days of the effective date of the amendment. The Annual Performance Pay is not intended to constitute CalPERS-reportable compensation, subject to applicable law and CalPERS determinations. STRATEGIC PLAN INITIATIVE: None. ATTACHMENTS: 1) First Amendment to the City Manager’s Employment Agreement 33 Attachment 1 FIRST AMENDMENT TO AGREEMENT BETWEEN CITY OF DUBLIN AND COLLEEN TRIBBY FOR EMPLOYMENT AS CITY MANAGER This First Amendment is made and entered into this 15th day of September, 2026 by and between the City of Dublin, California, a municipal corporation and general law city (the “City”), and Colleen Tribby, an individual (the “City Manager”). The City and the City Manager are sometimes individually referred to as a “Party” and collectively as “Parties” in this Agreement. RECITALS WHEREAS, City and City Manager are parties to an Employment Agreement, dated September 17, 2024 (the “Agreement”). WHEREAS, following the 2026 Annual Performance Evaluation of City Manager, the parties desire to amend the agreement, effective June 1, 2026, to increase the City Manager’s base salary by six percent (6%), and provide Annual Performance Pay of $10,000. NOW, THEREFORE, in consideration of the mutual promises, conditions and covenants herein contained, the parties agree to amend the Agreement as follows: 1. Section III.A.1(a) of the Agreement is amended to update the monthly salary to $31,456.77 effective June 1, 2026. 2. Section III.A.2 of the Agreement is hereby deleted in its entirety and replaced with the following: 2. Annual Performance Pay (a) The City Manager shall be eligible for Annual Performance Pay of $10,000 per year, unless the City Council determines, as part of the annual performance evaluation described in Section II.D.2 above, that the City Manager has failed to sufficiently meet the goals and performance objectives established for that evaluation period. (b) The Parties acknowledge and agree that Annual Performance Pay under this section is not intended to constitute “special compensation” as defined in 2 C.C.R. § 571, nor “payrate” as defined in Government Code section 20636 and shall not be reported to CalPERS as compensation earnable. Notwithstanding the foregoing, the City's reporting of compensation to CalPERS shall at all times be governed by applicable law and CalPERS' determinations, and the City reserves the right to report, or decline to report, this or any other payment as CalPERS may require. 34 (c) The City Council having determined that the City Manager met the standard described in subsection (a) above for the evaluation period concluding with the City Manager's 2026 Annual Performance Evaluation, the initial Annual Performance Pay of $10,000 shall be paid within 30 days of the effective date of this Amendment. Subsequent Annual Performance Pay shall correspond to each subsequent annual evaluation period described in Section II.D.2 above. 3. The foregoing amendments shall become effective June 1, 2026. 4. Except as expressly amended herein, all other terms and conditions of the Agreement shall remain in full force and effect.
